CHEVRON <br /> ENVIRONMENTAL MANAGEMENT COMPANY, a. California corporation ("Chevron."), <br /> and. Roberts Enterprises PTP, a. California Partnership (hereinafter together referred to as <br /> "Owner"). <br /> RECITALS <br /> WHEREAS, Owner holds title to a.parcel of real, property, of approxi.rnately 5.7 acres in. <br /> size, located at, 35500 South. Welty Road, Vernalis, CA, San Joaquin. County APN 255-260-03 <br /> (hereinafter. the "Properly"); and. <br /> WHEREAS, the Old Valley Pipeline (h.erei,na.fter. tl.i.e "OVP") formerly owned and. <br /> operated. by Chevron's affiliate, Chevron Products Company and it's predecessors, collectively <br /> "CPC", transported heavy petroleum. crude oil from Balcersf.el.d, to Ri,cl.ruond, California. from <br /> the early 1.9007s to the 1,930's. A pump station was operated upon the Property by CPC as part <br /> Of its former OVP system.. The Property with. its improvements was sold by CPC on. November <br /> 1; 1935,. and the Property was used by subsequent owners for various agricultural, and. <br /> commercial purposes before being purchased by Owner in. 1989; and <br /> W11EREAS, petroleum, from. CPC's OVP operations ha.s been identified to be present in <br /> the subsurface of the Properly at depths in excess of ten. feet (10') below the ground. surface <br /> (hereinafter"Residual Petroleum"); and <br /> WHEREAS, Chevron has been assigned responsibility by CPC for managing <br /> environmental Ii.a.biliti.es and obligations related to the OVP; and <br /> WHEREAS, Chevron submitted a Site Investigation Report and Screening-Level. Idea.lth <br /> Risk Assessment, prepared, by Geomatri.x Consultants, Inc., (hereinafter the "Deport") to the <br /> California Regi.on.a.l. Water. Quality Control. Board (hereinafter the "RWQCB") in. February of <br /> 1.999, relating to the subsurface soil, and ground water condition of the Property; and. <br /> WHEREAS, the Report concluded that the lateral and vertical. extent of the Resi.d.u.a.l. <br /> Petroleum affected. soil was limited, and that the Resi,du.a.l. Petroleum. is not providing a source of <br /> dissolved petroleum con.sti.tuents to ground. water. <br /> NOW, THEREFORE, in. an effort to identify responsibility for the Residual. Petroleum <br /> originating from. CPC's OVP operations and identified to be present in the subsurface soil and. <br /> ground water ben.ea.th. the Property, the parties have agreed. to enter into this Limited Indemnity <br /> Agreement as follows: <br /> 1.
