AGREEMENT FOR RIGHT OF ENTRY TO SAMPLE, MAINTAIN AND DESTROY MONITORING WELLS 1739 W. Durham Ferry Road, Tracy, California (Also Known As 31448 Hwy. 33, Tracy, California) APN: 255-310-023 THIS AGREEMENT is made and entered into by and between Seeds of LifeNerbum Dei of San Francisco, California (hereinafter "Licensor") and Ground Zero Analysis, Inc., on behalf of the Teranishi Irrevocable Administrative Trust (hereinafter "Licensee"). Licensor hereby grants to Licensee, it's agent, employees, and assigns the right to enter upon the property highlighted in yellow on the attached Exhibit A (hereinafter "Property"), solely for the purpose of sampling monitoring wells and the domestic well; and maintaining and destroying the existing groundwater monitoring wells also indicated on Exhibit A. All of Licensee's activities are limited to that which is required to sample, maintain and destroy the groundwater monitoring wells including sampling the domestic well. Licensor and Licensee acknowledge that Ground Zero Analysis, Inc. is an agent solely of Licensee and not of Licensor. This right of entry shall be subject to the following terms and conditions: This license agreement is effective upon the execution thereof by all parties hereto and delivery of a fully executed copy to the Licensor. The term of this license shall be three (3) years from the date of this agreement and shall automatically terminate three (3) years from said date unless extended. This agreement may be extended at any time and from time to time by the mutual written consent of all parties hereto and such consent shall not be unreasonably withheld. Upon termination of the agreement, or earlier, Licensee shall abandon the monitoring wells in accordance with all applicable governmental regulations in force at the time of abandonment, including but not limited to grouting and capping. Copies of all reports shall be made available to Licensor, including any and all assessment and remediation information and test results pertinent to the Property. These reports and data shall be provided to Licensor concurrently with the distribution of same to any governmental agencies. The Licensee agrees to repair or cause to be repaired any damage to the Property resulting from entry onto the Property by Licensee, its agents, employees or assigns, by restoring the Property to its condition immediately preceding the entry. Should one or more of the monitoring wells threaten to interfere with future development or use of the property, Licensor shall notify Licensee. Licensee agrees to destroy said well(s) in accordance with all applicable laws and regulations and at Licensee's sole cost and expense. Installation of replacement well(s), if needed, shall be at the sole cost and expense of Licensee and shall be at a mutually acceptable location on the property.
