AGREEMENT FOR RIGHT OF ENTRY <br />TO SAMPLE, MAINTAIN AND DESTROY MONITORING WELLS <br />1739 W. Durham Ferry Road, Tracy, California <br />(Also Known As 31448 Hwy. 33, Tracy, California) <br />APN: 255-310-023 <br />THIS AGREEMENT is made and entered into by and between Seeds of LifeNerbum Dei of <br />San Francisco, California (hereinafter "Licensor") and Ground Zero Analysis, Inc., on <br />behalf of the Teranishi Irrevocable Administrative Trust (hereinafter "Licensee"). <br />Licensor hereby grants to Licensee, it's agent, employees, and assigns the right to enter upon <br />the property highlighted in yellow on the attached Exhibit A (hereinafter "Property"), solely <br />for the purpose of sampling monitoring wells and the domestic well; and maintaining and <br />destroying the existing groundwater monitoring wells also indicated on Exhibit A. All of <br />Licensee's activities are limited to that which is required to sample, maintain and destroy the <br />groundwater monitoring wells including sampling the domestic well. Licensor and Licensee <br />acknowledge that Ground Zero Analysis, Inc. is an agent solely of Licensee and not of <br />Licensor. <br />This right of entry shall be subject to the following terms and conditions: <br />This license agreement is effective upon the execution thereof by all parties hereto <br />and delivery of a fully executed copy to the Licensor. The term of this license shall <br />be three (3) years from the date of this agreement and shall automatically terminate <br />three (3) years from said date unless extended. This agreement may be extended at <br />any time and from time to time by the mutual written consent of all parties hereto and <br />such consent shall not be unreasonably withheld. Upon termination of the agreement, <br />or earlier, Licensee shall abandon the monitoring wells in accordance with all <br />applicable governmental regulations in force at the time of abandonment, including <br />but not limited to grouting and capping. Copies of all reports shall be made available <br />to Licensor, including any and all assessment and remediation information and test <br />results pertinent to the Property. These reports and data shall be provided to Licensor <br />concurrently with the distribution of same to any governmental agencies. <br />The Licensee agrees to repair or cause to be repaired any damage to the Property <br />resulting from entry onto the Property by Licensee, its agents, employees or assigns, <br />by restoring the Property to its condition immediately preceding the entry. <br />Should one or more of the monitoring wells threaten to interfere with future <br />development or use of the property, Licensor shall notify Licensee. Licensee agrees <br />to destroy said well(s) in accordance with all applicable laws and regulations and at <br />Licensee's sole cost and expense. Installation of replacement well(s), if needed, shall <br />be at the sole cost and expense of Licensee and shall be at a mutually acceptable <br />location on the property.
