Witness: <br /> ARTICLE 15 EVENTS OF DEFAULT <br /> Section 15.01 Events Of Default. Subject to the terms of this Article, the occurrence of <br /> any of the following shall constitute an event of default by Tenants under this Lease ("Event of <br /> Default"): <br /> (a) Nonpayment of Base Rent. Failure to pay any installment of Base Rent on <br /> or before the date when due. Notwithstanding the foregoing, Tenants shall have a five (5) <br /> Business Day grace period for payment of one installment of the Base Rent twice in any twelve <br /> (12) month period during the Lease Term. <br /> (b) Nonpayment of Additional Rent. Failure to pay any amount of Additional <br /> Rent on or before the date when due and such failure continuing for five (5) Business Days <br /> thereafter. <br /> (c) Bankruptcy and Insolvena. If at any time during the Lease Term, (i) <br /> Tenants file a Petition, (ii) any creditor or other Person that is an Affiliate of Tenants files against <br /> Tenants any Petition, or any creditor or other Person (whether or not an Affiliate of Tenants) <br /> files against Tenants any Petition, where Tenants, or an Affiliate of either of them, cooperates or <br /> colludes with such creditor or other Person in connection with such Petition or the filing thereof, <br /> (iii) any creditor or other Person that is not an Affiliate of Tenants files a Petition against <br /> Tenants, where none of Tenants, or an Affiliate of either of them, cooperates or colludes with <br /> such creditor or other Person in connection with such Petition or the filing thereof, and such <br /> Petition is not vacated or withdrawn within sixty(60) days after the filing thereof, (iv) a trustee <br /> or receiver is appointed to take possession of the Demised Property, or of all or substantially all <br /> of the business or assets of Tenants, and such appointment is not vacated or withdrawn and <br /> possession restored to Tenants within sixty (60) days thereafter, (v) a general assignment or <br /> arrangement is made by Tenants for the benefit of creditors, (vi) any sheriff, marshal, constable <br /> or other duly-constituted public official takes possession of the Demised Property, or of all or <br /> substantially all of the business or assets of Tenants by authority of any attachment, execution, or <br /> other judicial seizure proceedings, and such attachment or other seizure remains undismissed or <br /> undischarged for a period of sixty (60) days after the levy thereof, (vii) Tenants admits in writing <br /> its inability to pay its debts as they become due; or (viii) Tenants files an answer admitting or <br /> failing timely to contest a material allegation of any Petition filed against Tenants, respectively. <br /> (d) Delivery of Notices and Other Documents. The failure by Tenants to <br /> deliver any of the notices or other documents required to be delivered to Landlord under this <br /> Lease, in each case within the time periods required herein (other than any such notices or other <br /> documents specifically addressed in another clause of this Section 15.01, for which Tenants will <br /> have the grace periods (if any) and notice rights (if any) set forth in such other clause), provided, <br /> however, that if no time period is stated in this Lease for the delivery by Tenants of any notice or <br /> other document to Landlord, then Tenants shall have a grace period of ten (10) Business Days <br /> 18 <br />
