said Referee shall be a judge for all purposes (including, without limitation, (x)ruling on any and <br /> all discovery matters and motions and any and all pretrial or trial motions, (y) setting a schedule <br /> of pretrial proceedings, and (z) making any other orders or rulings a sitting judge of the Superior <br /> Court would be empowered to make in any action or proceeding in the Superior Court). Any <br /> matter before the Referee shall be governed by the substantive law of California, its Code of <br /> Civil Procedure, Rules of Court, Evidence Code, and such other statutes or rules which would be <br /> applicable if the matter were tried in the Superior Court, except as otherwise specifically agreed <br /> by the Parties and approved by the Referee. The Parties intend this general reference agreement <br /> to be specifically enforceable in accordance with the California Code of Civil Procedure. Any <br /> decision of the Referee and/or judgment or other order entered thereon shall be appealable to the <br /> same extent and in the same manner that such decision,judgment, or order would be appealable <br /> if rendered by a judge of the San Joaquin County Superior Court. The Referee shall in his/her <br /> statement of decision set forth his/her findings of fact and conclusions of law. <br /> (d) During the pendency of any action or proceeding respecting a Dispute, and <br /> before the entry of any judgment therein, each of the parties to such action or proceeding shall <br /> bear equal shares of the fees charged and costs incurred by the Referee in connection with <br /> performing the services provided in this Section. The compensation of the Referee shall not <br /> exceed the prevailing rate for like services. The prevailing party shall be entitled to reasonable <br /> court costs and legal fees, including customary attorney fees, expert witness fees, paralegal fees, <br /> the fees of the Referee and other reasonable costs and disbursements charged to the party by its <br /> counsel, in such amount as is determined by the Referee. If a court reporter is requested by either <br /> party, then such reporter shall be present at all proceedings, and the fees of such reporter shall be <br /> borne by the party requesting such reporter. Such fees shall be an item of recoverable costs. <br /> (e) Nothing in this Section 26.02 shall prejudice the right of any Party to <br /> obtain provisional relief or other equitable remedies as shall otherwise be available under the <br /> Code of Civil Procedure and/or applicable Court rules. <br /> Section 26.03 TENANTS AND LANDLORD EACH ACKNOWLEDGES THAT THE <br /> PROVISIONS OF THIS ARTICLE ARE A MATERIAL INDUCEMENT TO THE OTHER <br /> PARTY'S ENTERING INTO THIS LEASE. <br /> ARTICLE 27 LIABILITY OF PARTIES <br /> Section 27.01 The obligations of Landlord under this Lease are not personal obligations <br /> of the individual members, partners, directors, officers, shareholders, agents or employees of <br /> Landlord. Tenants shall look solely to the Demised Property for satisfaction of any liability of <br /> Landlord and shall not look to other assets of Landlord nor seek recourse against the assets of the <br /> individual members, partners, directors, officers, shareholders, agents or employees of Landlord. <br /> Whenever Landlord transfers its interest in the Demised Property, Landlord shall be <br /> automatically released from further performance under this Lease and from all further liabilities <br /> and expenses hereunder related to the Demised Property, whether arising before or after such <br /> transfer. <br /> Section 27.02 The obligations of Tenants under this Lease are not personal obligations of <br /> the unnamed individual members, partners, directors, officers, shareholders, agents or employees <br /> 29 <br />
