EXHIBIT C <br /> FORM OF MEMORANDUM OF LEASE <br /> (Above space reserved for recorder and recording information) <br /> This instrument prepared by and <br /> after recording return to: <br /> MEMORANDUM OF LEASE <br /> This Memorandum of Lease is made and entered into as of by and between <br /> and ("Landlord"), and , a <br /> whose address is ("Tenants"),who agree as follows: <br /> 1. Terms and Premises. Pursuant to a certain Land and Building Lease (the "Lease") dated on or <br /> about the date hereof entered into between Landlord and Tenants, Landlord has leased to Tenants and <br /> Tenants has leased from Landlord that certain real property, together with all the improvements thereon <br /> and appurtenances thereunto belonging (the "Premises"), more particularly described on Exhibit "A" <br /> attached hereto and incorporated herein, for a term of ten (10) YEARS from 04/01/2021 , 2021 and <br /> expiring on March 31TH , 2031. Tenants has TWO (2) 10-year options to extend the term of the <br /> Lease, all as more particularly set forth in the Lease. Tenants have a right to purchase the Premises, as <br /> more particularly set forth in the Lease. <br /> 2. Subordination Provisions. Tenants' rights under the Lease shall at all times be subject and <br /> subordinate to any fee mortgages and/or trust deeds now or hereafter filed against the Premises and to the <br /> rights of any Landlord's Mortgagee thereunder and as otherwise set forth in Article 23 of the Lease. <br /> 3. Purpose of Memorandum of Lease. This Memorandum of Lease is executed and recorded to give <br /> public notice of the Lease between the parties and all terms and conditions of the Lease are incorporated <br /> by reference into this Memorandum and this Memorandum of Lease does not modify the provisions of <br /> the Lease. If there are any conflicts between the Lease and this Memorandum of Lease, the provisions of <br /> the Lease shall prevail. The rights and obligations set forth herein shall be binding upon and inure to the <br /> benefit of the parties hereto and their respective successors and assigns.
