JMB:3/16/18 Ver. 1 <br />In the staging and installation of the wells and the monitoring thereafter, <br />Licensee shall not interfere with the operation of Licensor or with any of its tenants, <br />occupants, businesses or others who are permitted to use the Property and its non- <br />exclusive common area parking. driveways, roadways and other similar easements, <br />except in the event of an emergency, no access shall be permitted during the last week of <br />October, or the months of November and December of any year occur, or during any two <br />week period that may from time to time be required by notice to Licensee from Licensor, <br />to accommodate its own construction, use or business on or at the Property. <br />Upon request by Licensor, Licensee shall provide Licensor with actual <br />notice and schedule of each proposed activity associated with the monitoring well's work <br />at least five (5) business days prior to entering the Property unless in the event of an <br />emergency in which event notice shall be by telephone, followed by e-mail at a number <br />and address provided by Licensor. <br />Prior to Licensee's first entry onto the Property, Licensee shall obtain and <br />provide to Licensor certificates of insurance conforming to Exhibit B — each certificate <br />naming Licensor and its partners as Additional Insured, as well as Licensor's Tenant, <br />Orchard Supply Hardware, LLC, a Delaware limited liability company, and Walgreen <br />Co., an Illinois corporation, and Walgreen's property owner all as Additional Insured. <br />Licensee's work shalt be in strict compliance with all federal, state and <br />local laws and regulations and will be performed in a safe and worker-like manner in <br />accordance with the standard of performance used by first-rate environmental <br />investigation and remediation companies. <br />When the need for the Monitoring Well's investigation has ended prior to <br />such termination, Licensee shall, at its sole cost and expense, seal and abandon the <br />Monitoring Well in accordance with applicable governmental laws and regulations and <br />shall restore the surface of the Property to its prior condition. <br />Licensee shall indemnify and hold harmless Licensor and its respective <br />partners, officers, agents, employees, tenants, and such authorized occupants having <br />permitted common area access to the Property, from and against any and all fines, <br />penalties, claims, demands, losses, damages, causes of action, suits and liabilities arising <br />out of or in connection with any work done, action taken or permitted by Licensee, <br />Licensee's authorized representatives, subcontractors, agents or employees.
