original condition. <br /> (d) Club reserves the right to review all plans <br /> and specifications and to require approval by Club of any <br /> conditions , covenants , and restrictions covering the sub- <br /> division , as well as the design and plans of the subdivi- <br /> sion; provided, however, that Club will not unreasonably <br /> withhold its consent and approval. <br /> (e) Plant or pay for the planting of all trees , <br /> grass , and other shrubbery, or improvements required on the <br /> golf course , except as provided in the agreement among the <br /> parties hereto and United Sprinklers Co. and John E. Slover, <br /> hereinabove designated Exhibit "S" . <br /> (f) Club will require from Developer proper ease- <br /> ments for each subdivision lot for fairways , in return for <br /> Club' s agreement to plant, water, and mow said easement <br /> areas . Club specifically agrees to maintain the rear forty <br /> feet (40 ' ) of all subdivision lots at Club' s sole cost and <br /> expense; provided, however, that if Developer, or its as- <br /> signees , invade said forty-foot area for the extension of <br /> leach lines , then Developer, or its assignees , shall replace <br /> all sod, turf, trees , shrubbery, and landscaping to its <br /> normal state immediately following any such extension. <br /> 3. It is mutually agreed by the parties hereto as fol- <br /> lows : <br /> (a) The parties will open an escrow with San <br /> Joaquin Escrow Company, and immediately upon approval by <br /> the County of San Joaquin of a final subdivision map, De- <br /> veloper will deposit funds in the sum of $100 ,000 . 00 , and <br /> Club will deposit a Grant Deed. Both parties shall give <br /> proper instructions , and said instructions shall include, <br /> but not be limited to , the following: <br /> (1) A Note secured by a Deed of Trust ; a sub- <br /> ordination agreement; easements as called for by this agree- <br /> ment; and cash in the sum of $100 , 000. 00. <br /> (2) Title insurance and escrow fees are to be <br /> paid for equally by the two parties. <br /> (3) Club will pay for documentary transfer <br /> tax. <br /> (4) Taxes will be prorated at close of escrow, <br /> based upon the actual acreage acquired by Developer. <br /> -4- <br />
