The Stipulation and Judgment were drafted equally by all Parties. The Parties agree <br />that the rule of construction holding that ambiguity is construed against the drafting Party shall <br />not apply to the interpretation of the Stipulation and Judgment. The Stipulation and Judgment <br />shall be governed by and construed in accordance with the laws of the State of California. <br />INTEGRATION <br />37. The Stipulation and Judgment contains all of the terms and conditions agreed upon by <br />the Parties relating to the matters covered by the Stipulation and Judgment, and supersede any <br />and all prior and contemporaneous agreements, negotiations, correspondence, understandings, <br />and communications of the parties, whether oral or written, respecting the matters covered by the <br />Stipulation and Judgment. <br />MODIFICATION <br />38. The Judgment may be amended or modified only by a writing signed by the parties or <br />their authorized representatives, and then by order of the Court. <br />KNOWING AND VOLUNTARY STIPULATION AND JUDGMENT <br />39. Each Party to the Stipulation and Judgment acknowledged that the Party has reviewed <br />all of the terms and conditions of the Stipulation and Judgment, and has agreed to the Stipulation <br />and Judgment knowingly and voluntarily. <br />AUTHORITY TO ENTER STIPULATION AND JUDGMENT <br />40.
