C. Upon completion of work or termination of this Agreement, all reports and <br /> pertinent data or materials related to this Agreement shall, at the option of <br /> COUNTY, become property of COUNTY and shall be delivered to COUNTY <br /> forthwith and prior to final payment by COUNTY to CONSULTANT. <br /> CONSULTANT shall give the masters of the reports to COUNTY. <br /> CONSULTANT shall have the right to retain copies of documents delivered to <br /> COUNTY. CONSULTANT shall not be held liable for use of such materials for <br /> purposes other than those intended by this Agreement. <br /> IV. PERSONNEL <br /> A. CONSULTANT shall employ, at its own expense, all personnel required in <br /> performing the services under this Agreement. Such personnel shall not be <br /> employees of COUNTY. Use of specialized subcontractors by Consultant is <br /> allowable in the performance of this agreement. <br /> B. All of the services required by this Agreement shall be performed by <br /> CONSULTANT as specified in Section I., and all personnel engaged in the <br /> performance of such services shall be fully qualified and shall be authorized or <br /> permitted under Federal, State and local law to perform such services. <br /> C. The Principle of CONSULTANT shall conduct the majority of tasks required <br /> under this agreement. No substitution of personnel identified above shall be <br /> made without the consent of the County Director of Community Development. <br /> V. TIME OF PERFORMANCE <br /> Subject to earlier termination as herein provided, the services performed by <br /> CONSULTANT shall conclude on 1/1/2008. The time for performance of services <br /> by CONSULTANT may be altered only upon the written consent of the County <br /> Director of Community Development. <br /> VI. PAYMENT OF COMPENSATION <br /> A. For the full performance of the services described herein, COUNTY shall pay <br /> CONSULTANT for time and expenses according to the rates indicated in <br /> Exhibit A. The total value of this agreement shall not exceed $160,366.00 <br /> unless amended per section I. B. of this agreement. In any event, the total <br /> value of this agreement shall not exceed $190,366.00. <br /> B. Payments shall be made monthly and based on previous month's activity. <br /> C. CONSULTANT shall submit invoices at the end of each month indicating the <br /> time, materials, and cost expended, within the limitations of this agreement, or <br /> the items completed and eligible for payment. <br /> Payment of undisputed invoice amounts shall be made to CONSULTANT <br /> within thirty (30) days of receipt of invoice by COUNTY. COUNTY shall notify <br /> CONSULTANT of any disputed amounts on CONSULTANT'S invoice within <br /> ten (10) days of receipt of such invoice and shall pay any undisputed invoice <br /> 3 <br />
