Attornevs' Fees Reimbursement–Licensee shall reimburse Licensor for attorney's fees associated with this Agreement, in an amount not to exceed one thousand five hundred dollars ($1,500.00), as full and final payment. Said payment shall be due and payable within thirty (30) days following the full execution of this Agreement by all Parties and of Licensee's receipt of the related attorney invoice. In addition, if any Party hereto institutes any action or proceeding against the other arising out of or related to this Agreement, the prevailing Party shall be entitled to reasonable attorneys' fees and all costs and expenses in the proceeding. 19. Execution of Agreement - Each of the undersigned hereby represents and warrants that they are authorized to execute this Agreement on behalf of the respective Parties to the Agreement, and that this Agreement, when executed by those Parties, shall become a valid and binding obligation, enforceable in accordance with its terms. Upon execution, this Agreement shall be binding as to the Parties' respective parent companies, subsidiaries, affiliates, successors, heirs and Licensor's assigns. 20. Counterparts - This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which, taken together, shall constitute one and the same Agreement.
