' r AOC Site#:4912 <br /> Acquisition#:5445 <br /> Stockton,California <br /> 1049 E.March Lane <br /> UC:004-1777 <br /> LICENSE AGREEMENT <br /> FOR ENVIRONMENTAL ASSESSMENT <br /> This License for Environmental Assessment ("License") is dated February 25, 2016, <br /> (Effective Date), between McDONALD'S CORPORATION, a Delaware corporation <br /> ("McDonald's"), CRAIG SCHRADER ("Operator"), and PHILLIPS 66 COMPANY, a <br /> Delaware corporation ("Licensee"). McDonald's, Operator, and Licensee, collectively, shall <br /> sometimes hereinafter be referred to as the"Parties." <br /> RECITALS <br /> A. McDonald's owns the real property located at 1049 East March Lane, Stockton, <br /> California, legally described on Exhibit "A," attached hereto and incorporated herein, and <br /> further identified by the San Joaquin County Assessor as Parcel No. 104-080-04, (the <br /> "Property"), which is in the vicinity of the former Conoco related Marketing Site #5445, <br /> located at 1206 East March Lane, Stockton, California; <br /> B. Operator leases the Property from McDonald's and operates a McDonald's <br /> restaurant thereon; <br /> C. Licensee, in cooperation with the San Joaquin County Environmental Health <br /> Department ("SJCEHD"), desires to enter onto the Property for the purpose of performing its <br /> environmental investigation and/or remediation activities, including, but not limited to, the <br /> following(collectively the"Authorized Activities"): <br /> 1. Access to mark and clear for all subsurface utilities; <br /> 2. Installation of one (1) groundwater monitoring well labeled, "MW-10," (the <br /> "Well") as shown on the Well Installation Plan, attached hereto and <br /> incorporated herein by reference as Exhibit "B;" <br /> 3. Quarterly monitoring, sampling, and maintenance of the Well; and <br /> 4. Eventual proper well abandonment in accordance with state and/or municipal <br /> protocols; <br /> D. McDonald's and Operator desire to grant Licensee, its employees, representatives <br /> and contractors a license for these purposes pursuant to the terms below. <br /> AGREEMENT <br /> NOW, THEREFORE, in consideration of the terms below and other good and valuable <br /> consideration, the receipt and sufficiency of which are acknowledged by the Parties, the Parties <br /> agree as follows: <br />
