This Agreement shall not be construed to grant any real property or other rights to SJRRC or Permittees in the Property. 10. Successors and Assigns. This Agreement shall be binding on and inure to the benefit of the respective Parties and their heirs, successors and assigns. 1.1. Governing Law. This Agreement is made and entered into in the State of California and in all respects is to be interpreted, enforced and governed by and under the laws of California,without reference to its conflicts of laws males. Any action to enforce or interpret this Agreement shall be filed in the Superior Court of San Joaquin County, California. 12. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall, for all purposes, be deemed an original and all such counterparts,taken together, shall constitute one and the same instrument. The Parties agree that the digital signatures of the Parties included in this Agreement are intended to authenticate this writing and to have the same force and effect as manual signatures. Any digital signature shall have the same legal validity and enforceability as a manually executed signature or use of a paper-based record keeping system to the fullest extent permitted by applicable law. 13. Entire Agreement; Amendment. This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof, and supersedes any prior written or oral agreement pertaining thereto. This Agreement shall not be modified except by written agreement of the Parties. 14, No Third Party Beneficiaries. There are no third party beneficiaries to this Agreement. 15. Authority to Execute. Each Party and signatory hereto warrants and represents, as a material inducement to the others, that such signatory hereto is authorized to enter into and execute this Agreement on behalf of the Party for which he, she or it signs, and has all necessary approvals and consents in that regard.
