MISELLANEOUS:Client warrants that Client has the authority to enter into this Agreement,and any person signing it <br /> on Client's behalf has been duly authorized to sign.The parties acknowledge that this Agreement supersedes all written and oral <br /> agreements,if any;between the parties pertaining to the Work and that this Agreement constitutes the entire and only agreement <br /> pertaining to the Work.This Agreement will be binding upon and will inure to the benefit of the successors and assigns of the <br /> respective parties hereto.This Agreement will be construed,the rights and obligations created hereby will be governed,and the <br /> remedies available will be provided in accordance with the laws of the State of California, regardless of the conflict of law <br /> principles customarily applied by the courts of any jurisdiction. The parties expressly agree that venue for any proceeding to <br /> interpret,enforce or confirm breach of this Agreement will be in Sacramento County,California. <br /> 21. TAXES AND ASSESSMENTS:Taxes and special assessments of all descriptions will be paid by Owner. <br /> 22. BANKRUPTCY: If either party becomes bankrupt, or makes an assignment for the benefit of creditors, the <br /> other party has the right to cancel this contract. <br /> 23. RIGHT TO STOP WORK: Contractor shall have the right to stop work if any payment shall not be made to <br /> contractor under this agreement;contractor may keep the job idle until all payments due are received. <br /> 24. COMPLETION AND OCCUPANCY: Owner agrees to sign and record a Notice of Completion within five days <br /> after completion of the project. If the project passes final inspection by the public body but owner fails to record Notice of <br /> Completion,then Owner hereby appoints contractor as owner's agent to sign and record a Notice of Completion on behalf <br /> of owner. This agency is irrevocable and is an agency coupled with an interest. Contractor may use such force as is <br /> necessary to deny occupancy of the project by Owner or anyone else until contractor has <br /> 25. CONTRACTOR'S LICENSE AND BOND NOTICE:Contractors are required by law to be licensed and regulated by <br /> the Contractors'License Board which has jurisdiction to investigate complaints against contractors if a complain regarding a patent <br /> act or omission is filed with four years of the date of the alleged violation.A complaint regarding a latent act or omission pertaining <br /> to structural defects be filed within ten(10)years of the date of the alleged violation.Any questions concerning a contractor may be <br /> referred to the Registrar,Contractors'License Board,P.O.Box 26000,Sacramento,CA 95826 <br /> 26. EQUAL EMPLOYMENT: NCFW, Inc. and any Subcontractor shall abide by the requirements of <br /> 41 CFR§§60-1.4(a),60-300.5(a)and 60-741.5(a). These regulations prohibit discrimination against qualified <br /> individuals based on their status as protected veterans or individuals with disabilities and prohibit <br /> discrimination against all individuals based on their race, color, religion, sex, sexual orientation, gender <br /> identity or national origin.
