MISELLANEOUS:Client warrants that Client has the authority to enter into this Agreement,and any person signing it on Client's behalf has been duly authorized to sign.The parties acknowledge that this Agreement supersedes all written and oral agreements,if any;between the parties pertaining to the Work and that this Agreement constitutes the entire and only agreement pertaining to the Work.This Agreement will be binding upon and will inure to the benefit of the successors and assigns of the respective parties hereto.This Agreement will be construed,the rights and obligations created hereby will be governed,and the remedies available will be provided in accordance with the laws of the State of California, regardless of the conflict of law principles customarily applied by the courts of any jurisdiction. TAXES AND ASSESSMENTS:Taxes and special assessments of all descriptions will be paid by Owner. 22. BANKRUPTCY: If either party becomes bankrupt, or makes an assignment for the benefit of creditors, the other party has the right to cancel this contract. 23. RIGHT TO STOP WORK: Contractor shall have the right to stop work if any payment shall not be made to contractor under this agreement;contractor may keep the job idle until all payments due are received. 24. COMPLETION AND OCCUPANCY: Owner agrees to sign and record a Notice of Completion within five days after completion of the project. If the project passes final inspection by the public body but owner fails to record Notice of Completion,then Owner hereby appoints contractor as owner's agent to sign and record a Notice of Completion on behalf of owner. This agency is irrevocable and is an agency coupled with an interest. Contractor may use such force as is necessary to deny occupancy of the project by Owner or anyone else until contractor has 25. CONTRACTOR'S LICENSE AND BOND NOTICE:Contractors are required by law to be licensed and regulated by the Contractors'License Board which has jurisdiction to investigate complaints against contractors if a complain regarding a patent act or omission is filed with four years of the date of the alleged violation.A complaint regarding a latent act or omission pertaining to structural defects be filed within ten(10)years of the date of the alleged violation.Any questions concerning a contractor may be referred to the Registrar,Contractors'License Board,P.O.Box 26000,Sacramento,CA 95826 26.
