CENTERPOINT PROPERTIES TRUST <br /> Attention: Richard Mathews, General Counsel <br /> 1808 Swift Drive, Suite A, Oak Brook, IL 60523 Rmathews(a centerpoint.com <br /> PERMIT TO ENTER <br /> CONSENT FOR ACCESS TO ABANDON MONITORING WELL ON PROPERTY <br /> ("Agreement") <br /> The undersigned, CenterPoint Properties Trust ("Owner"), is the owner of that certain property <br /> commonly known as 18300 S. Harlan Road, Lathrop, CA (the "Propem"). <br /> The Property is currently leased to Home Depot USA, Inc. ("Tenant"), pursuant to that certain <br /> Lease Agreement dated as of December 19, 2007, as amended by that certain First Amendment to <br /> Lease dated as of February 28, 2017 (collectively, the "Lease"). The City of Lathrop, CA (the <br /> "CiV") has requested that the Owner grant the City, and its employees, agents, contractors and <br /> authorized representatives(collectively,together with the City,the"City Parties")a non-exclusive <br /> temporary access easement over that portion of the Property depicted on Exhibit A attached hereto <br /> and by this reference incorporated herein (said area is hereinafter referred to as the "Easement <br /> Area"and said easement is hereinafter referred to as the"Well Abandonment Easement"). Owner <br /> hereby grants the City Parties a non-exclusive, temporary easement to enter in, over and upon the <br /> Easement Area for the sole purpose of monitoring well abandonment and removal of related <br /> equipment and systems ("Work") to be completed after June 28, 2024 and on or before July 31, <br /> 2024 (the "Termination Date"). The Well Abandonment Easement shall terminate on the <br /> Termination Date. All piping, tools, equipment and other property placed upon the Property by <br /> City Parties shall be promptly removed and, in the event they shall fail to remove such piping, <br /> tools, equipment or other property within ten days after the Termination Date, Owner shall give <br /> the City notice that it intends itself to remove such tools, equipment and other property, and may <br /> do so, at City's expense, if the City Parties have not removed the same within ten (10) days after <br /> notice. <br /> The City Parties will give reasonable notice before accessing the Property or conducting any <br /> activities on the Property as to minimize disruptions or inconvenience to the Owner's or Tenant's <br /> operations. It is understood and agreed that the City Parties will leave the premises in <br /> a clean and orderly condition, and will promptly repair, replace, restore, indemnify, defend, <br /> reimburse and/or compensate for any damages or claims which result from the course of Work. <br /> Any members of City Parties who access the Property shall be thoroughly instructed in proper <br /> field procedures and conduct.
