04/26/01 THU 13:57 FAX 1 816 861 0430 SEC09-SACRANENTp IA 02 COST SHARING AGREEMENT BETWEEN CHEVRON PRODUCTS COMPANY AND ATLANTIC RICIHTELD CON WANY COST SHARING AGREEMENT Ms Gast Sharing Agreement ("Agreectrent"), dated March 7, 2001 is entered into by and between Chevron Products Company ("Chevron"), a Pennsylvania corporation, and Atlantic Richfield Company(ARCO),a Delaware corporatism. This Agreement is entered rota with reimence:to the following facts and circumstances. A. Chevron previously operated an automotive service station at 2905 W.Benramin holt Dr., Stockton, California. Which station is also identified in Chevron's system as service station 49-4275. ARCO previously operated an automotive service station at 2908 W. Benjamin Holt Dr., Stockton, California which station is identified in ARCO's sysi em as station 42133. Theses service stations are referred to in this agreemeatt as the"station"or "stations",as content requires. B. Contamination of the soils and groundwater on, uoder and in the vicinity of each of the stations may have occurred as a result of the operations conducted thereon. ARCO and Chevron are each presently required and may be required to oonturue to conduct monitoring,investigation and/or remediation of such contamination. C_ h is presently unlmown what the reL3tive contributions of ead► station to the total contamination may have been,or what the total extent of the contamination may be. D_ ARCO and Chevron are desirous of entering into an agreernmt whereby they may cooperate in said investigation and/or rmiedia on and share the casts of same m proportion to their respective relative contributions, if any, to the contamination, Accordingly,the parties are entering into this agreement. therefore, in consideaauan of the preceding recitals and the following agneemems covenants terms and comtitions,the parties agree with intent to be bound: 1
