2. Term. The License shall commence effective on the
<br /> data first° hereinabove written and shall terminate on or before
<br /> August 31, 1995.
<br /> 3. Compliance witb Laws. Licensee shall, at its sole
<br /> expense, install, sample, maintain, repair, operate and close
<br /> the monitoring wells and conduct any and all other activities on
<br /> the Property in compliance with all Legal Requirements.
<br /> 4. Responsibility for Expenses. Licensee shall be
<br /> solely responsible for all costs and expenses incurred or
<br /> resulting from the installation, sampling, maintenance, repair,
<br /> operation and closing of the monitoring wells, the performance
<br /> of any other activity on the Property and the restoration and
<br /> repair of the Property as provided in this License Agreement and
<br /> any cost or expense incurred by Licensor as a result thereof.
<br /> 5. Restoration of Property. After any installation,
<br /> sampling, maintenance, repair, replacement or closure of the
<br /> monitoring wells, or the completion of any and all other
<br /> activities to be performed by Licensee hereunder, but in any
<br /> event prior to the termination of this License Agreement,
<br /> Licensee shall remove all equipment placed on the Property, fill
<br /> and level all ditches, ruts and depressions caused by the
<br /> installation, maintenance, repair or replacement operations, and
<br /> remove all debris resulting therefrom; and shall restore the
<br /> surface of the Property as near to its original condition as
<br /> possible within a reasonable time after the completion of any
<br /> such installation, maintenance, repair or replacement, closure
<br /> or other work.
<br /> 6. Licensor Approval of Work. Licensee shall submit `
<br /> to Licensor for Licensor's written approval the general design,
<br /> plan, work plans and specifications for all work to be performed
<br /> by Licensee on the Property. Licensor shall not unreasonably
<br /> withhold approval of such plans and specifications, provided
<br /> such wells and/or equipment are placed so as not to materially
<br /> interfere with Licensors' use of the Property.
<br /> 7. Permits. Licensee, at no expense to Licensor, e
<br /> shall be responsible for and shall obtain any and all
<br /> governmental permits and approvals which may be necessary for
<br /> Licensee to conduct any of its work or activities on the
<br /> Property.
<br /> a. Liens and Claims. Licensee shall not permit any
<br /> mechanics' , materialmen's or other similar liens or claims to
<br /> stand against the Property for labor or material furnished in
<br /> connection with the work or activities conducted by Licensee on
<br /> the Property. Licensee may bond and contest the validity and
<br /> amount of such lien, but Licensee shall immediately pay any
<br /> judgment rendered, shall pay all proper costs and charges and
<br /> shall have the lien released at its sole expense.
<br /> 9. cooperation. Licensee shall coordinate its
<br /> activities with Licensor to minimize any impairment of any
<br /> business conducted on the Property and any inconvenience to or
<br /> interruption of the conduct of such business and Licensor may
<br /> impose such reasonable rules and regulations regarding such work
<br /> as Licensor deems necessary.
<br /> 30. indemnity. Licensee shall indemnify Licensor and
<br /> hold harmless Licensor and the Property from and against any and
<br /> all claims, demands, actions, suits, judgments, losses, damages,
<br /> costs or expenses incurred as a result of personal injury,
<br /> property damage, civil penalties, fines or clean-up costs,
<br /> including settlement costs and attorneys' fees caused in whole
<br /> or in part by the acts or omissions of Licensee or its
