Contractor: George and Mei Teranishi has engaged the services of GTI <br /> for the performance of the Assessment. GTI and any other contractors or subcontractors (the <br /> "Contractors") shall be familiar with Applicable Law and have the experience, expertise, <br /> personnel, equipment, permits, licenses, and approvals necessary to perform the Assessment and <br /> any Related Activities in accordance with Applicable Law. <br /> 7. Indemnification: George and Mei Teranishi shall indemnify and hold The <br /> Owner harmless from and against all costs, expenses or liabilities arising from the entry of <br /> George and Mei Teranishi and its respective Contractors onto the Designated Area and the <br /> performance of the Assessment or any Related Activities by George and Mei Teranishi and its <br /> respective Contractors on the Designated Area from and after the date hereof, except for those <br /> costs, expenses and liabilities incurred as a result of any act or omission of The Owners. <br /> 8. Non-Interference: George and Mei Teranishi assure that the Contractors, <br /> in carrying out the Assessment and the Related Activities, will use their best efforts not to <br /> interfere with The Owners' use, occupation, enjoyment, development or sale of the Designated <br /> Area. The Owners shall use their best efforts not to interfere with the proper and complete <br /> performance of the Assessment or any Related Activities by George and Mei Teranishi. <br /> 9. Cooperation: The Owners shall cooperate with George and Mei Teranishi, <br /> its authorized representatives and the Contractors, to effectuate completion of the Assessment <br /> and any Related Activities. <br /> 10. Insurance: George and Mei Teranishi Contractor shall maintain <br /> comprehensive general liability insurance coverage. Such insurance shall cover personal injury <br /> to The Owners and property damage to the Designated Area, and any personal injury or property <br /> damage to any third party or its property, that may arise from any act or omission of the <br /> Contractors in connection with the entry of the Contractors on the Designated Area and their <br /> performance of the Assessment or any Related Activities on the Designated Area. <br />
