(b) Any and all liabilities, assessments,penalties (to the extent permitted <br /> by law), fines and compliance orders by any go,,ernniental or regulatory agencies imposed as a <br /> result of investigation activities, or lack of such activities, by Contractor <br /> 9 TE&MINATION Upon termination of this Agreement, Contractor shall remove <br /> all equipment and materials from the Property and shall fill in all pits, or other excavations and <br /> shall comply with its repair and replacement obligations as otherwise set forth in Paragraph 2(h) <br /> 10 REIMBURSEMENT Contractor agrees, within ten (10) days after written <br /> demand therefor, to reimburse Owner for the attorneys' fees that it has incurred in the negotiation <br /> and preparation of this Agreement up to a maximum amount of Two Hundred Fifty and 001100 <br /> Dollars (5250 00). <br /> 11 MISCELLANEOUS <br /> a Entire Agreement This Agreement contains the entire Agreement of the <br /> parties and supersedes any prior or current oral or Aritten Agreement of the parties with respect <br /> to the matters stated in this Agreement_ This Agreement may be modified only by the express <br /> written consent of all parties to this Agreement <br /> b Successors and Assigns This Agreement shall run with the land and be <br /> binding upon, and shall inure to the benefit of, the successors and assigns of the parties, except <br /> that the Contractor may not assign its nghts or duties winder this Agreement without the prior <br /> written consent of Owner, which consent shall not be unreasonably withheld.
