C. CONSULTANT shall submit all,requests for data and/or reports to the Director of Community Development for disposition. The Consultant shall submit all matcrials directly to the,County Director of Community Development for review prior to making the materials available to the project applicant or other interested parlies. D. Upon completion of work or termination'of this Agreement,all reports,;including the roasters of the Draft and Final Environmental Impact Reports,and pertinent data or materials related to this Agreement shall,become the property of COUNTY and shall be delivered.to COUNTY forthwiih and prior to final payment-by COUNTY to CONSULTANT.CONSULTANT shall have the right to retain copies of documents delivered to COUNTY. i IV: PERSONNEL A. CONSULTANT SHALL employ,at its own expense,all personnel required to perform the services under this Agreement. Such personnel shall not be.employees of COUNTY. B. All of the services required by this Agreement shall be performed by CONSULTANT or its subcontractors as specified in Exhibit A,and all personnel engaged in the performance of such services shall be fully qualified and shall be authorized or permitted under Federal,State and local law to perform such services. C. No substitution of personnel identified in Exhibit A shall be made without the consent of the County Director of Community Development. V.TIME OF PERFORMANCE w Subject to earlier termination as herein provided,the services performed by CONSULTANT shall be in accord with schedule for completion contained in Exhibit A.The time for performance of services by CONSULTANT may be altered only upon the written consent of the County Director of Community Development. 1 VI, PAYMENT OF COMPENSATION A. For the full performance of the services described herein, COUNTY shall pay CONSULTANT the fixed total amount of$189,962.00. B. The$189,962.00shall be paid by COUNTY to CONSULTANT in accord with the following scheduler l. 40%,or$75,984.80 upon submission of an adequate Administrative Draft Environmental Impact Report,as determined by the County Director of Community Development; P 2. 30%,or$56,988.60 Upon submission of an adequate Draft Environmental Impact Report,as determined by the County Director of Community Development; 3. 20%,or$37,992.40 upon submission of an adequate Final Environmental Impact Report, as determined by the County Director of Community Development; 4. 10%,or$18,996.20 upon certification of the Final Environmental Impact Report by the Board of Supervisors of the County of San Joaquin.
