P J C. CONSULTANT will.invoice COUNTY per approved schedule in Section IV B. Payments will be due 50 days after,invoice date.. VII. INSURANCE A. CONSULTANT will indemnify,defend,and hold COUNTY harmless from all claims, demands,or liability on.account'of injury to.persons or damage to property arising out of or encountered in connection-with CONSULTANT'S performance of the services.under this contract or the prosecution,of work under it,to the extent such claims,demands,or liability are caused.byCONSULTANT,CONSULTANT'S AGENT'S or CONSULTANT'S employee's negligent acts or omissions, or willful misconduct, excepting only such injury or harm as may be caused solely and exclusively by COUNTY'S fault or negligence. B. CONSULTANT shall submit to COUNTY prior to commencement of work under this Agreement a certificate of insurance for General Liability Insurance with limits of at least $ 1,000,000 for bodily injuries and property damage combined for each occurrence,and $1,000,000 for personal injury for each occurrence. C. Furthermore,additional insured endorsements to CONSULTANT'S Bodily Injury and Property Damage Liability and Automobile Liability Insurance policy naming the COUNTY,its officers,and employees as additional insured's shall be furnished COUNTY.CONSULTANT'S Bodily Injury and Property Damage Liability and Automobile Liability Insurance policy shall be endorsed as primary insurance. D. All policies shall contain a provision requiring thirty(30)days written notice to be given to COUNTY prior to cancellation,modification,or reduction of limits,except 10 days for non-payment of premium. E. Additionally, CONSULTANT shall obtain and keep in force Worker's Compensation Insurance covering all employees of CONSULTANT who may at any time work on the project. VIII. NOTICE Any notice required to be given pursuant to the terms and conditions hereof shall be in writing,and shall be effected by one of the following methods;personal delivery,prepaid Certified First Class Mail,or prepaid Priority Mail with delivery confirmation.Unless otherwise designated in writing by either party,such notice shall be mailed to the addresses shown on page one(1)of this Agreement.
