LASSIGNMENT AGREEMENT <br /> THIS ASSIGNMENT AGREEMENT(this "Assignment") is entered into this <br /> day of November 2006,by and between Golden State hivestments, LP, a <br /> California limited partnership (the"Assignor") and Golden State Investments II, LP, a <br /> California limited partnership (herein "Assignee "). <br /> Recitals <br /> A. The Assignor is the owner/developer of the real property located with the <br /> { Mountain House Community referred to as APN: 209-080-25 and commonly known as <br /> I� the Regent's Gate subdivision. The Regent's Gate subdivision is within the Specific Plan <br /> III area of the Mountain House Community. The Tentative Map for Regent's Gate <br /> Lsubdivision was approved on August 17, 2006 and provides for combined total of 286 <br /> R/M and R/MIl residential units (154 R/M units and 132 R/MH units). This approval <br /> resulted in Assignor being the owner of, and the Regent's Gate subdivision having a <br /> Lsurplus of, 8 R/MH wastewater treatment units as allowed by Specific Plan III (Table 3.3 <br /> under the column heading"Expected Units as per Wastewater Limitations"). <br /> LB. Specific Plan III(Section 3.2.5.3 and Section 3.2.5.4) allows owners of <br /> property within the Specific Plan III area to shift wastewater units between parcels under <br /> their ownership as part of a subdivision application for the parcels. Property owners <br /> Land/or developers may assign a portion of their expected density allocations under the <br /> wastewater limitation column of Table 3.3 to other property owners upon application to <br /> the Community Development Department and recordation of an assignment agreement. <br /> The intent of such assignments is to allow developers to shift units between parcels, so <br /> long as maximum and minimum density requirements established in Table 3-3 of <br /> LSpecific Plan III are met as well as lot size requirements of the development standards. <br /> C. The Assignee is the owner/developer of the real property.located with the <br /> Mountain House Community referred to as APN: 209-070-26 and commonly known as <br /> L the Altamont Heights subdivision. The Altamont Heights subdivision is within the <br /> Specific Plan III area of the Mountain House Community. The Altamont Heights <br /> Tentative Map application seeks approval of 53 R/L residential lots/units. <br /> D. The Altamont Heights Tentative Map application is being heard on <br /> November 16, 2006. The Community Development Department has determined that the <br /> assignment of 8 unused wastewater units of R/MH at 200 gal/day(a total of 1600 <br /> gal/day) is equivalent to 5 wastewater units of R/L at 312 gal/day(a total of 1560 <br /> gal/day) and, therefore, has approved of the assignment by Assignor to Assignee of <br /> Assignor's 8 unused wastewater units of R/MH at 200 gal/day for use as 5 wastewater <br /> units for R/L lots in the Altamont Heights subdivision.
