Lease Agreement <br /> This agreement is made and entered into this I e day of May 2016,between The Louis H.Voss <br /> Trust,as Lessor,and Rogers Media Company of Davis,California, as Lessee. The parties hereby <br /> agree as follows. <br /> Louis H. Voss Trust, hereinafter called Lessor,represent that they own the property known as <br /> APN number, 179-550-19,with a physical address of 3030 South Frontage Road, State Route US <br /> 99, in Stockton,California.Lessor agrees to lease to Lessee,all general advertising signage <br /> rights to said property. More specifically,Lessor grants to Lessee the use of said property for the <br /> purpose of installing and maintaining one free standing advertising structure,to be used for <br /> general advertising purposes,for a period of Wwey(W years,with an option to renew for like <br /> period. The option must be exercised by written notice at least ninety(90)days prior to the <br /> expiration of this lease by each party and all portions of said Lease Agreement must be in good <br /> standing. If any additional property taxes are created by said sign,they are the sole responsibility <br /> of Lessee. <br /> Said finished structure will be a 14'x 48'double-faced sign,one pole sign structure,measuring <br /> no more than fifty feet to the highest point.This lease includes the ground and air space <br /> necessary to build,maintain, service and install said structure and subsequent advertising <br /> messages. Sign shall be located in the Northwest comer of said property. <br /> Rent will commence upon the placement of said sign structure and continue monthly thereafter. <br /> In consideration thereof, Lessee agrees to pay Lessor$14010POper year,payable on a <br /> monthly basis at$9990ftper month. Lessor is also entitled to the greater of the base amount <br /> versus 30%of net advertising revenue,whichever is greater.Net Advertising revenue is defined <br /> as net proceeds that are collected minus any sales or adverting agency commissions. Any overage <br /> due shall be paid on a quarterly basis on a quarterly look back basis. Lessor may ay any time <br /> request to see copies of advertising contracts,invoices or any information pertinent to said sign <br /> structure. if rent is not paid within 15 days of the due date(every first of the month for the month <br /> preceding),a late of 5%of the payment shall be imposed. If at any period during said lease <br /> agreement the Lessee fails to make payment to the Lessor for more than sixty(60),Lessor at its <br /> sole option may terminate lease and confiscate Lessee's sign,permits and good will for the sum <br /> of one dollar. <br /> Lessor shall allow Lessee to install lighting fixtures for purposes of night lighting of the <br /> advertisement.All electrical installations and fixtures shall be in compliance with applicable <br /> building codes. Lessee shall at all times incur all electrical expenses relative to said signs. <br /> Lessee shall at all times retain ownership of all structures,permits, and electrical fixtures placed <br /> upon Lessor's property and may remove same upon termination of this lease, regardless of the <br /> fact that said structures may constitute real estate fixtures. Lessee may assign lease and structure <br /> to another outdoor advertising company with approval of Lessor. Approval may not be <br /> unreasonably withheld. If Lessee fails to obtain proper permits for the erection of said signs,such <br /> lease shall be co a null and void. <br /> Initials-Lessor, Lessee . <br />
