Lease Aereement <br /> This agreement is made and entered into this IS"day of May 2016,between RFD Properties, <br /> LLC,as Lessor, and Rogers Media Company, Inc.of Davis,California,as Lessee.The parties <br /> hereby agree as follows. <br /> Lessor represents that it owns the property known as APN number 179-560-51,with a physical <br /> address of 3446 South Frontage Road,State Route US 99, in Stockton,California("Property"). <br /> Lessor grants to Lessee the use of a portion of the Property for the purpose of installing and <br /> maintaining one free standing advertising structure,to be used for general advertising purposes, <br /> for a period ofAwaNW4(W years from the Commencement Date(defined below). Said finished <br /> — structure will be a 14'x 4g'double-faced sign,one pole sign structure,measuring no more than <br /> fifty(50)feet to the highest point("Sign"),as depicted in Exhibit A attached hereto and made a <br /> part hereof. The demised premises shall include the reasonable amount of ground and air space <br /> necessary to build, install,operate and service the Sign and subsequent advertising messages. <br /> The Sign and the area of such ground shall be located in the Southwest or Northwest corner of <br /> the Property as designated by Lessor. <br /> Rent will commence upon installation of the Sign("Commencement Date")and shall be payable <br /> on the first day of each month thereafter, but in no event shall rent commence any later than <br /> January 1,2017.The rent payable by Lessee to Lessor hereunder shall be the greater of <br /> 1111OR W. per year,payable at aper month,or 30%of the annual gross advertising <br /> revenue generated by the Sign("Percentage Rent"). Any Percentage Rent due shall be paid in <br /> arrears within ninety(90)days after the end of each twelve-month period beginning with the <br /> Commencement Date. Lessor may at any time request,and Lessee shall promptly provide,copies <br /> of advertising contracts, invoices or any information pertinent to the Sign. If any rental <br /> installment is not paid within 15 days of its due date,a late payment fee of 5%of the amount due <br /> shall be immediately due and payable by Lessee.If at any time during the term of this lease <br /> Lessee fails to make a payment due hereunder for more than sixty(60)days after its due date, <br /> Lessor at its sole option may terminate the lease, in which case Lessor,at Lessor's sole option, <br /> may either treat the Sign,related facilities and structures,permits and goodwill as part of the <br /> Property,with Lessee no longer having any rights thereto,or require Lessee to remove the Sign <br /> and its related facilities and structures forthwith and return the demised premises to its original <br /> condition, reasonable wear and tear excepted("Retention/Removal Option"). <br /> Lessor shall allow Lessee to install lighting fixtures for purposes of night lighting of the Sign <br /> advertisement. All electrical installations and fixtures shall be in compliance with applicable <br /> building codes. Lessee shall at all times be responsible for the payment of all expenses relative to <br /> the Sign, including electricity.
