Except as otherwise provided herein,Lessee shall at all times retain ownership of the Sign, its <br /> related facilities and structures, permits,and electrical fixtures placed upon the Property and <br /> remove same upon termination of this lease, regardless of the fact that the Sign and its related <br /> facilities and structures may constitute real estate fixtures, but in connection with such removal, <br /> Lessee must return the Property to its original condition, reasonable wear and tear excepted. <br /> Lessee may assign its interest in this lease to another outdoor advertising company but not <br /> without the prior approval of Lessor, which approval may not be unreasonably withheld. If <br /> Lessee fails to obtain or maintain proper permits for the erection and operation of the Sign and <br /> its related facilities and structures, this lease shall become immediately null and void and Lessor <br /> shall be entitled to exercise the Retention/Removal Option. <br /> Lessee shall hold Lessor harmless from any lass, damage, or injury in the installation, operation, <br /> maintenance or removal of the Sign and its related facilities and structures. Lessee shall <br /> maintain public liability and property damage insurance covering the Property with a combined <br /> single limit of no less than$1,000,000 naming Lessor as an additional insured, and shall provide <br /> Lessor with a certificate evidencing the same upon Lessor's request therefor. During the tern of <br /> this Agreement, Lessee shall also provide Lessor with a copy of Lessee's liability policy upon <br /> Lessor's request therefor. The renewal of said policy must be noticed to Lessor on an annual <br /> basis at its time of renewal. Failure to do so will,at Lessor's option, make this lease null and <br /> void. <br /> If the view of the Property or the Sign is obstructed or impaired, or the use of the Sign is <br /> diminished for any reason,or the use of the Sign is prevented by law, Lessee has the option to <br /> terminate this lease upon thirty(30)days written notice to Lessor. Lessor agrees that neither it <br /> nor any employee,agent,or representative of Lessor will install or permit any obstructions to the <br /> visibility of the Sign. <br /> Notwithstanding any provision contained herein to the contrary, if Lessor shall sell the Property, <br /> Lessor shall have the option at any time after five(5)years after the Commencement Date to <br /> terminate this lease upon thirty(30)days written notice to Lessee,and if such option is <br /> exercised, Lessee shall forthwith remove the Sign and its related facilities and structures and <br /> return the demised premises to its original condition, reasonable wear and tear excepted. <br /> Before renting the Sign or any space thereon to a third party,Lessee shall give written notice to <br /> all of the tenants of the building(s)situated on the Property that they have a right of first refusal <br /> to rent space on the Sign on such terms as Lessee may offer,with such right being exercisable, if <br /> at all, by giving Lessee written notice thereof within thirty(30) days after receipt of Lessee's <br /> notice,and shall not rent the Sign to a third party on more favorable terns than offered to such <br /> tenants. <br /> Provided Lessee is not in default in any of Lessee's obligations hereunder, Lessee shall have an <br /> option to extend this lease for ten(10)years beginning immediately after the end of the initial <br /> term hereof,with such extended term being governed by the same terms and conditions set forth <br /> herein except that rent for the extended term will be the greater of the monthly amount which <br /> will be the reasonable fair market rent as of the first day of the extended term or the percentage <br /> rent which will be the fair market reasonable percentage as of such first day. The option shall be <br /> exercisable, if at all, by Lessee giving Lessor written notice of such exercise at least 120 days <br /> prior to the expiration date of the initial term. <br /> Initials: Lessor/Lessee <br />
