i T <br /> 5. Personnel <br /> A. CONSULTANT SHALL employ, at its own expense, all personnel required <br /> to perform the services under this Agreement. Such personnel shall not be <br /> employees of COUNTY. <br /> B. All of the services required by this Agreement shall be performed by <br /> CONSULTANT or its subcontractors as specified in Exhibit A, and all <br /> personnel engaged in the performance of such services shall be fully <br /> qualified and shall be authorized or permitted under Federal, State and local <br /> law to perform such services. <br /> C. No substitution of personnel identified in Exhibit A shall be made without the <br /> consent of the County Director of Community Development- <br /> 6. Time of Performance <br /> Subject to earlier termination as herein provided, the services performed by <br /> CONSULTANT shall be in accord with schedule for completion contained in Exhibit <br /> A. The time for performance of services by CONSULTANT may be altered only <br /> upon the written consent of the County Director of Community Development. <br /> x <br /> 7. Payment of Compensation <br /> A. For the full performance of the services described herein, COUNTY shall <br /> pay CONSULTANT the fixed total amount of$403,692.00. <br /> B. The payment $403,692.00 shall be paid by COUNTY to CONSULTANT in <br /> accord with the following schedule: <br /> 1. 40%, or $161,476.80, upon submission of an adequate <br /> Administrative Draft Environmental Impact Report, as determined by <br /> the County Director of Community Development; <br /> 2. 30%, or $121,107.60, upon submission of an adequate Draft <br /> Environmental Impact Report, as determined by the County Director <br /> of Community Development-, <br /> 3. 20%, or $80,738.40, upon submission of an adequate Final <br /> Environmental Impact Report, as determined by the County Director <br /> of Community Development; <br /> 4. 10%, or $40,369.20, upon certification of the Final Environmental <br /> Impact Report by the Board of Supervisors of the County of San <br /> Joaquin. <br /> 4ofr9 <br />
