Main Street <br /> Spartanburg, SC 29319 <br /> Re: U S Chemical <br /> 1448 Shaw Road, Stockton, California <br /> Dear Mr. Stevens: <br /> In the last several weeks representatives of U S Chemical and Canteen Corporation <br /> have had several conversations about releases of environmental contaminants from the <br /> Canteen property that have migrated or will migrate onto U S Chemical's Stockton <br /> property. As you know, U S Chemical has been involved recently in negotiations for the <br /> sale of its Stockton facility. The ability of U S Chemical to conclude these negotiations <br /> and sell its facility will depend, in large measure, on the commitment of Canteen to <br /> investigate and remediate releases of environmental contaminants from Canteen's <br /> property affecting U S Chemical's property. <br /> The purpose of this letter is to formally request that Canteen restore U S Chemical's <br /> Stockton property through investigation and remediation of the releases of environmental <br /> contaminants from Canteen's property affecting U S Chemical's property. The pending <br /> negotiations for sale of U S Chemical's Stockton property will be dependent upon the <br /> resolution of this environmental issue. Canteen's commitment to restore the property <br /> must be assignable to the successors in interest of the U S Chemical Stockton property. It <br /> would appear that an agreement to restore the property through appropriate investigation <br /> and remediation as well as an appropriate indemnification against third party claims <br /> should be considered. <br /> We would appreciate an expeditious response to this letter in view of the on-going <br /> negotiations for the sale of the U S Chemical Stockton property.
