E. Owner's grant of permission to Shell contractors to enter the Property is needed <br /> before any Activities can be conducted; and <br /> F. It is the desire and intention of Shell and Owner to make this mutual agreement <br /> with respect to such Activities. <br /> NOW, THEREFORE, for and in consideration of the foregoing and the agreements herein <br /> stated, Shell and Owner hereby agree as follows: <br /> 1. Owner grants to Shell contractors a license to enter upon the Property for the <br /> purposes necessary for the performance of the Activities, and the right to perform all acts <br /> necessary in connection therewith. Such license to enter shall continue in force until said <br /> Activities are completed to the satisfaction of Shell and/or any applicable governmental <br /> agencies. <br /> 2. Owner agrees not to prohibit, interfere with or obstruct such entry or Activities <br /> upon the Property, and not to cause or permit same to be done by others. <br /> I Owner covenants that the license to enter hereby granted to Shell contracctors is <br /> binding upon both itself and anyone claiming ownership, title, leasehold or any other <br /> occupancy rights to the Property by, through or under Owner, including present/future <br /> tenants or other occupants, and that Owner, will make any grant of such rights subject to <br /> Shell's contractors' license to enter. <br /> 4. Shell agrees that such entry upon the Property shall be limited to the extent <br /> necessary for the performance of the Activities undertaken by Shell contractors for the <br /> purposes expressed herein. <br /> 5. Upon completion of each of the Activities upon the Property, Shell contractors will <br /> cause any tools, equipment, or material placed thereon for the purpose of that Activity to <br /> be removed and will exercise due diligent efforts to restore the said Property to its former <br /> condition as is reasonably and practically possible, less ordinary wear and tear. <br /> 6. Shell contractors agree to perform all Activities on the Property during hours at <br /> which time the tenant of the property is not open for business. <br /> 7. Shell agrees to provide copies of all reports submitted to governmental agencies <br /> pursuant to these Activities to the Owner and to the Property tenant. <br />
