i t ACCESS AGREEMENT i This Access Agreement (this "Agreement") is made and entered into by and among CONOCOPHILLIPS COMPANY ("Licensee"), and NUSTAR TERMINALS OPERATIONS PARTNERSHIP L.P. (formerly known as SUPPORT TERMINALS OPERATING L.P.) ("Owner"),effective as of the Effective Date(defined below). WHEREAS, Licensee, in cooperation with the California Regional Water Quality Control Board-Central Valley Region (CRWQCB-CVR), has requested access to Owner's property located j at 3505 Navy Drive, Stockton, California, and further identified by the San Joaquin County 1 r Assessor as Parcel No. 162-030-04 (the "Property"), said Property being the site of the former Tosco Bulk Terminal Plant No. 10013, for the purpose of investigating the presence of potential contaminations, remediation of such contamination, sampling certain existing monitoring wells and conducting other activities commensurate with the investigation and remediation of contamination, including but not limited to the following activities, the proposed location of said activities being ? indicated on Exhibit "A", attached hereto and incorporated herein (the foregoing is collectively referred to herein as the"Operations"): 1. Quarterly monitoring and sampling of existing groundwater monitoring wells "MW-1" through "MW-6", "MW-9", "MW-10", "MW-11", and "MW-14", or as required by the CRWQCB-CVR); 2. Installation of remedial well "IP-13"; 3. Destruction of remedial wells"IP-02"and"IP-03"; 4. Bi weekly (every other week) oxygen injection/operations and maintenance activities on wells"P-6", "IP-12", and"IP-13"; 5. Advancement of additional soil borings, and/or installation of additional groundwater i monitoring wells, and remedial wells upon approval or at the request of the CRWQCB- CVR,with quarterly access for sampling of said wells; and 6. Well destruction activities as needed in accordance with and upon case closure from CRWQCB-CVR; WHEREAS, Owner acknowledges that it is the legal and rightful owner of the Property, agrees to allow Licensee access to the Property for the Operations, subject to the terms and conditions contained herein; NOW, THEREFORE, for the benefit of investigating or remediating environmental measures on the Property and other good and valuable consideration, including, without limitation, the following terms of this Agreement, the receipt and sufficiency of which are hereby acknowledged,the parties hereto hereby agree as follows: 1. Recitals. The above recitals are incorporated herein for all purposes. 2. Right of Entry. Licensee and its employees, agents, consultants, contractors, subcontractors and/or other authorized representatives (collectively, the "Licensee Parties") shall, as necessary, have the limited privilege to enter the Property, subject to the specific terms and conditions of this Agreement, to conduct any or all of the Operations, in accordance with
