f l <br /> generally accepted standards for such work. Licensee and the Licensee Parties may bring <br /> equipment onto the Property to assist with the Operations hereunder. <br /> 3. Term. The term of this Agreement shall begin on July 6, 2009 (the "Effective <br /> Date"), and shall end on the earlier of July 6, 2019, or a date 60 days after receipt of a "No <br /> Further Action"notice issued by the CRWQCB-CVR. Notwithstanding the foregoing, Licensee, <br /> in its discretion, shall have the right to terminate this Agreement upon at least thirty (30) days <br /> prior written notice to Owner. Licensee's obligation to restore the Property to the extent <br /> described in Section 6 below shall survive the termination of this Agreement. <br /> 4. Prior Notice of Access; Coordination. Licensee shall notify Owner or Owner's <br /> representative identified in Section 11 below (Notices) by telephone, facsimile, or written notice <br /> at least forty eight (48) hours prior to the entering onto the Property (except that, in the event of <br /> an emergency, notice shall be given as soon as is practicable). Licensee further agrees to <br /> coordinate its Operations with Owner to minimize any inconvenience to or interruption of the <br /> conduct of Owner's business or operations on the Property. <br /> 5. Compliance with Laws. Licensee shall comply with all Applicable Laws in i <br /> undertaking the Operations authorized by this Agreement. For purposes of this Agreement, ` <br /> "Applicable Laws" shall mean any and all federal, state or commonwealth and local laws, <br /> statutes, rulings, rules, promulgations, directives, regulations, ordinances, consent and other <br /> orders, guidances from regulatory agencies, and interpretations, judicial decisions, decrees, <br /> common law, injunctions, writs, codes, standards, permits, certificates and licenses of any <br /> governmental authority in effect on the date hereof(and as hereafter amended from time to time) <br /> or hereafter enacted or imposed, in any way applicable to the Operations conducted by Licensee <br /> under this Agreement. <br /> 6. Property Restoration. In connection with its Operations hereunder, Licensee will <br /> make every effort to minimize disturbance of the Property. After completing its Operations <br /> hereunder, Licensee shall promptly restore, to the extent practicable, the Property to the <br /> condition that it was in prior to Licensee's Operations hereunder. The obligation described in the <br /> immediately preceding sentence shall survive the termination of this Agreement, howsoever <br /> brought about, and shall be effective regardless of when claims or liabilities are made or <br /> asserted. <br /> 7. Permits and Reporting Obligations. Licensee shall obtain all necessary permits <br /> and authorizations from all appropriate governmental agencies to conduct the Operations <br /> authorized herein, and shall make all required notifications .and fulfill all reporting obligations <br /> required by Applicable Laws. At Owner's request, Licensee shall provide Owner with a copy of <br /> any public reports relating to the environmental condition of the Property, which reports are <br /> prepared by Licensee and submitted by Licensee to a governmental authority. <br /> 8. Release. Licensee expressly acknowledges and agrees that Owner is merely <br /> providing access to the Property pursuant to Licensee's request, for the sole and limited purposes <br /> set forth in this Agreement, and that Owner has made no representations to Licensee in <br /> connection with any condition, contamination or substances that may exist on, near, about or <br /> 2 <br />
