N <br /> agreement to Issue an appropriate endorsement to the title policy- At close of <br /> escrow, as defined herein , COUNTY shall cause Escrow Holder to issue to CITY <br /> a CLIA standard coverage policy of title insurance in the amount of $ 150 , 000 <br /> excepting only the Permitted Exceptions . <br /> 5 . Except as otherwise expressly provided herein , all costs of the escrow, title <br /> insurance, and documentary transfer taxes, if any , shall be shared equally by <br /> CITY and COUNTY. <br /> d <br /> 6 . The balance of the unpaid principal and interest due on any note or notes <br /> secured by mortgages , deeds of trust, or other lien on the Property shall be paid <br /> in full by COUNTY at the close of escrow. <br /> 7 . Taxes , assessments , penalties , interest charges , delinquency charges , and <br /> municipal service charges of every kind levied upon or assessed against the <br /> Property, except as otherwise expressly set forth herein , shall be paid by <br /> COUNTY to the date of recording . Except for the assessment of the San Joaquin <br /> Area Flood Control bond , the remaining principal balance of any bond , <br /> assessment or special assessment that is a lien against the Property shall be <br /> paid in full by COUNTY at close of escrow. <br /> 8 . For the purpose of conveying the herein-described real property to CITY, <br /> COUNTY shall execute, acknowledge , and deliver a Grant Deed to the above- <br /> mentioned Escrow Holder, to be used in accordance with this Agreement. <br /> 94 Any and all loss or damage to the Property or any existing improvements <br /> occurring prior to the recording of the Grant Deed shall be at the risk of <br /> COUNTY. <br /> 10 . COUNTY may retain possession of the Property to the date of recording said <br /> deed , and CITY shall be entitled to possession not later than the date of <br /> recording said deed . COUNTY shall be entitled to all rents accruing from the <br /> Property up to and including date of recording said deed - <br /> 11 . CITY and COUNTY warrant to each other that they have not used any real estate <br /> broker in this transaction and that no real estate brokerage fees or commissions <br /> are required for such services related to this transaction . <br /> 12 . (a) Except as otherwise expressly provided in Section 12 (f) below, CITY <br /> acknowledges and agrees that (i) the Property shall be sold , and CITY shall <br /> accept possession of the Property on the Closing Date , "AS 1S , WHERE IS , <br /> WITH ALL FAULTS," with no right of setoff or reduction in the Purchase Price ; (ii) <br /> neither County nor any of its attorneys , agents , employees, or any other person <br /> acting or purporting to act on behalf of County, has or may be deemed to have <br /> made any verbal or written representations, warranties, promises or guarantees <br /> (whether express , implied statutory or otherwise) to CITY with respect to the <br /> i� <br /> i' Page 3 of 9 <br />`P <br /> u 0T 3MJ A333DD AVr 1?L0ZZ9b60Z Z5 : LT b00Z /90 /05 <br />
