RIGHT OF ENTRY AGREEMENT <br /> This Right of Entry Agreement ("Right of Entry" or "Agreement") is entered into this <br /> day of June, 2010, by and between the 100 Oak Street Corporation ("Oak Street") and the <br /> Judicial Council, the Judicial Branch of the State of California, by the Administrative Office of <br /> the Courts,hereinafter referred to as ("AOC"/"Permittee"). <br /> RECITALS <br /> A. WHEREAS, Oak Street is the owner of that certain real property located at 33 Hunter <br /> Square,Stockton, CA 95202("Property"). <br /> B. WHEREAS, AOC desires to obtain Oak Street's permission to enter onto the Property, <br /> on a temporary basis, to conduct due diligence in anticipation of acquisition of the Property. <br /> C. WHEREAS, the Parties wish to enter into this Right of Entry whereby Oak Street will <br /> allow AOC to enter the Property, on a temporary basis, for the purpose of performing the <br /> investigation described in Exhibit"A"("Activities"). <br /> NOW,THEREFORE, Oak Street and AOC do hereby agree as follows: <br /> AGREEMENT <br /> 1. Right of Entry. Oak Street hereby grants to AOC and its agents, employees and <br /> contractors the temporary right to enter onto the Property for the purpose of performing the <br /> activity described in Exhibit A and for no other purpose. AOC's entry on and inspections of the <br /> Property shall be at ADC's sole cost and expense. Access to the Property by AOC shall be <br /> during normal business hours and AOC shall provide Oak Street no less than 24 hours prior <br /> notice of its intent to access the Property. If AOC intends to conduct any invasive testing, said <br /> notice shall include a description of the testing to be conducted. AOC shall be responsible for <br /> repairing any damage caused by such testing at its sole cost and expense. AOC shall not engage <br /> in any invasive testing without prior written approval by Oak Street. To the extent requested by <br /> Oak Street, Permittee agrees to provide the Owner with copies of all reports in connection with <br /> the Activities within ten days of preparation of such documents. <br /> 2. Term. The term of this Right of Entry shall automatically terminate upon the earlier <br /> of: (1) the execution by Oak Street and AOC of a real property purchase agreement for the <br /> Property or (2) ninety (90) days from the date first herein written above. The term may be <br /> extended by written notice to Oak Street and it shall be in the sole and absolute discretion of Oak <br /> Street to extend said term. <br /> 3. Indemnification. AOC hereby agrees to indemnify, defend, assume all liability for <br /> and hold harmless Oak Street and its respective partners, directors, officers, trustees, members, <br /> agents and employees, from and against any and all loss from all actions,claims, suits,penalties, <br /> attorneys fees, obligations, liabilities, damages to property, environmental claims or injuries to <br /> I <br />
