. t <br /> persons, caused by AOC's activities pursuant to this Right of Entry or arising out of or in <br /> connection with such activities, whether such activities or performance thereof is by AOC or <br /> anyone directly or indirectly employed or under contract with AOC, and whether such damage or <br /> claim shall accrue or be discovered before or after the termination of this Right of Entry. AOC <br /> agrees that it shall be responsible for the repair, maintenance and cleanup of the investigation <br /> conducted by AOC. The indemnity and other rights afforded to Oak Street by this section shall <br /> survive the termination of this Right of Entry. <br /> 4. Restoration of Property. AOC shall, at its own cost and expense, immediately restore <br /> the Property to the same condition in which it was prior to any of AOC's testing or inspection <br /> activities that damage or alter the Property. In case AOC shall fail to restore the Property to its <br /> prior condition within seven (7) days after the effective date of the termination(or sooner if such <br /> damage requires more prompt repair), Oak Street may proceed with such work at the expense of <br /> AOC. <br /> 5. Removal of Property. Other than equipment necessary to conduct the due diligence <br /> activities set forth in Exhibit "A," no property of AOC shall be placed on the Property without <br /> the prior written consent of Oak Street. Any property of AOC placed on the Property in <br /> performance of the activities under this Right of Entry shall be removed at the termination of this <br /> Right of Entry. Any property of AOC not removed at that time may be removed, stored or <br /> disposed of by Oak Street at the expense of AOC. <br /> 6. Non-Interference with Oak Street Operations. AOC shall not interfere with Oak Street <br /> operations and/or access to the Property during the performance of activities under this Right of <br /> Entry. <br /> 7. Counterparts. This Right of Entry may be executed in one or more counterparts, each <br /> of which shall be deemed an original but all of which together shall constitute one and the same <br /> instrument. <br /> 8. INSURANCE: Without limiting AOC's indemnification of Oak Street, AOC shall <br /> provide and maintain or cause its Contractor to provide and maintain at its own expense during <br /> the term of this Agreement the following programs of insurance or self-insurance specified in <br /> this Agreement, covering its operations hereunder. Such coverage shall be primary to and not <br /> contributing with any other insurance or self-insurance programs maintained by Owner. <br /> Certificates or other evidence of coverage satisfactory to Owner shall be delivered to Oak Street, <br /> on or before the effective date of this Agreement. Such certificate or other evidence shall: <br /> i. Specifically identify this Agreement; <br /> ii. Clearly evidence all coverages required in this Agreement; <br /> iii. Contain the express condition that Oak Street is to be given written notice <br /> by mail at least thirty (30) days in advance of cancellation for all policies evidenced on the <br /> certificate of insurance; <br /> iv. Include copies of the additional insured endorsement to the commercial <br /> general liability policy, adding the Oak Street, its officers and employees as insureds for all <br /> activities arising from this Agreement; <br /> 2 <br />
