PURCHASE AND SALE AGREEMENT <br /> AND ESCROW INSTRUCTIONS <br /> THIS AGREEMENT is made as of November11�,2005, (the"Effective Date"), <br /> by LKQ OF STOCKTON, iNC.,a California corporation, (`Buyer")and/or assignee, and <br /> ROSE CAL LLC, a California limited liability company("Seller'),with reference to the <br /> f6howing facts: <br /> A. Seller is the owner of real property located at 2059 Navy Drive, Stockton, San <br /> Joaquin County, California; improved with a=metal office/shop building and containing a <br /> Concrete Batch Plant. <br /> B.
