easements,rights-of-way or appurtenances used in connection with the beneficial use and <br /> enjoyment of the Land(all of which are collectively referred to as the"Appurtenances"): <br /> 1.3. Imovements. All improvements and fixtures located on the Land <br /> including,without limitation,the metal office/shop building and affiliated equipment,the <br /> Concrete Batch Plant(as that term is defined in Section 4.3 below),parking lot, all <br /> facilities used to provide any utility services,parking services,trash disposal or other <br /> services thereto (WI of which are collectively referred Was the"Improvements"). <br /> 1.4. "�erty" Defined. All of the items described in Sections 1.1. <br /> 1.2, and 1.3, above are hereinafter collectively referred to as the"Property." <br /> ARTICLE II <br /> PURCHASE PRICE <br /> 2.1. RW_Qi�ase Price. The Purchase Price(the "Purchase Price")for the <br /> Property shall be Two-Million Two-Hundred Thousand Dollars($2,200,000). <br /> 2.2. Payment of Purchase Price. The Purchase Price shall be paid as <br /> follows: <br /> (a).Within three(3)business days after the full execution and <br /> delivery of this Agreement,Buyer shall deliver to Alliance Title Company at Modesto, <br /> California, as escrow holder:;("Escrow Holder"),the sum of Fifty Thousand Dollars <br /> ($50,000)as a deposit towards the Purchase Price. <br /> (b).On the Closing Date, Buyer shall pay cash for the balance of <br /> the Purchase Price, subject to adjustment for proration, other credits and costs of escrow <br /> as provided in this Agreement. <br /> 2.3. I vesture t of De osit. Escrow Holder shall invest the deposit in <br /> an .interest bearing account selected by Buyer. All interest on the deposits shall, be for the <br /> benefit of Buyer and shall be credited towards payment of the Purchase Price. <br /> 2.4. DEPOSIT A5 LI UIDATED DAMAGES.
