This Agreement shall be binding upon, and inure to the benefit o� the parties hereto and their respective successors,heirs, administrators and assigns. 10.4• Amendments. This Agreement may amended or modified only by a written instrument executed by the party asserted to be bound thereby. 10.5. Conti itiatioand Survival of Representations. Warranties and Covenants. The provisions of this Agreement, including all representations, warranties, obligations, and covenants by or of the respective parties contained herein or made in writing pursuant to this Agreement are intended to and shall remain true and correct as of the Closing Date,shall be deemed to be material, and shall survive the execution and delivery of this Agreement,the delivery of the Deed and transfer of title. All statements contained in any certificate or other instrument delivered at any time by or on behalf of Seller in.connection with the transaction contemplated hereby shall constitute representations and warranties hereunder. 10.6.
