...r .WWI <br /> 8.3 Licensee agrees to perform any Corrective Action in accordance with <br /> applicable laws and regulations relating to the environmental work. <br /> 8.4 Licensee shall separately and exclusively indemnify and hold Owner <br /> harmless from and against all claims, loss, cost, damage, liens, expense, government <br /> orders and demands on or related to the Property caused by Licensee, its employees, <br /> consultants, contractors or agents in implementing, monitoring, performing or failing to <br /> perform any Corrective Action. <br /> 9. Dispute Resolution. The Parties agree that should any dispute arise under this Agreement <br /> that cannot be amicably resolved,the dispute shall be submitted to mediation prior to <br /> being submitted for adjudication in any court having jurisdiction thereof. Any mediator <br /> selected by the Parties shall be knowledgeable in environmental law and/or Corrective <br /> Action. <br /> 10. Execution of Agreement. Each of the undersigned hereby represents and warrants that he <br /> or she is authorized to execute this Agreement on behalf of the respective Party to the <br /> Agreement and that this Agreement,when executed by those Parties, shall become a <br /> valid and binding obligation, enforceable in accordance with its terms. Licensor <br /> represents and warrants that it is the owner of the Property or that it has full lawful <br /> authority to grant access to the Property for the purposes described herein. <br /> 11. Assignment Successor and Assigns. In the event Licensor's interest in the Property is <br /> conveyed,transferred or in any way assigned in whole or in part to any other person or <br /> entity, whether by contract, operation of law or otherwise, Licensor shall take any and all <br /> actions necessary at Licensor's sole cost to render any such conveyance,transfer or <br /> assignment subject to the terms of this Agreement and shall provide notice thereof to <br /> Licensee. Except as set forth hereinafter,this Agreement cannot be assigned by either <br /> Party without the prior written consent of the other,which consent shall not be <br /> unreasonably withheld, except if either Licensor or Licensee are sold,written notice shall <br /> be delivered to all other parties immediately upon completion of said transfer. This <br /> Agreement is binding upon all heirs, successors and assigns of the Parties. <br /> 12. Notice. Any notices required to be made under this Agreement shall be made in writing <br /> to the address of the appropriate party as set forth below. All such notices shall be <br /> deemed to have been duly given and received upon receipt, delivery by courier or I <br /> personal delivery service, or by U.S. Mail. Parties may alter or modify their notice <br /> address by delivery of written notice pursuant to the terms of this Agreement. <br /> I <br />
