This Agreement contains the entire understanding of the Parties regarding <br /> the grant of a non-exclusive license by Licensor to Licensee. Any change, amendment, <br /> or alteration of this Agreement shall be in writing and signed by both Parties to this <br /> Agreement. This Agreement supersedes all prior discussions and agreements between <br /> the Parties with respect to the subject matter hereof. <br /> 14. No Admissions. The parties agree that nothing in this Agreement nor the act of entering <br /> into it or any act or omission pursuant hereto shall be construed as an admission of any <br /> nature. <br /> 15. Governing Law. This Agreement shall be governed in all respects by the laws of the <br /> State of California without regard to the conflicts of law principles thereof. <br /> 16. Attorney Fees. If any dispute arises under or in connection this Agreement,the <br /> prevailing party in such action shall be entitled to recover its reasonable attorneys' fees, <br /> court costs and other litigation expense. <br /> 17. Counterparts. This Agreement may be executed in multiple counterparts, each of which <br /> shall be deemed to be an original and of equal force and effect. <br /> A <br />
