Modification - No alteration, modification, amendment, or waiver of this Agreement <br /> shall be valid unless it is in writing and signed by all Parties hereto. <br /> 12. Mechanics Liens - Unocal shall keep the Property free from any mechanics or other <br /> liens arising out of any work performed, materials furnished or obligations incurred by <br /> Unocal. Notwithstanding the prior sentence, Unocal shall have the right to contest the <br /> correctness or validity of any such lien if, immediately upon demand by Stone Brothers, <br /> Unocal procures and records a lien release bond issued by a corporation authorized to issue <br /> surety bonds in the State of California in an amount equal to one and one-half times the <br /> amount of the claim of lien or one and one-half times the amount allocated to the Property in <br /> the claim of lien. The bond shall meet the requirements of Civil Code Section 3143 <br /> sufficient to release the Property from lien and from any action brought to foreclose such <br /> lien, and shall provide for payment of any sum that the claimant may recover on the claim <br /> (together with costs of suit, if claimant recovers in the action). <br /> 13. Limitation of Waiver - No waiver of any term, provision, or condition of this <br /> Agreement, whether by conduct or otherwise, in any one or more instances, shall be <br /> deemed to be, or construed to be a further continuing waiver of any such term, provision, or <br /> condition or of any other term, provision, or condition of this Agreement. <br /> 14. Choice of Law-This Agreement shall be governed by and construed in accordance <br /> with the laws of the State of California. <br /> 15. Counterparts-This Agreement may be signed in counterparts, each of which shall be <br /> an original, and all of which shall constitute one and the same Agreement.
