may execute and deliver this Agreement by transmitting an authorized signature by facsimile transmission, and copies of this Agreement executed and delivered by means of faxed signatures shall have the same effect as copies executed and delivered with original signatures. 16. Interpretation - The captions of the paragraphs of this Agreement are only to assist the Parties in reading and understanding this Agreement and shall have no effect upon the construction or interpretation of any part thereof. This document shall be interpreted in an even-handed manner rather than against the drafting party in the event of any ambiguity. 17. Severability- If any provision of this Agreement, or its application to any person, is held to be unenforceable for any reason, it shall be adjusted rather than voided, if possible, in order to achieve the intent of the Parties to the extent possible. In any event, invalidation of any provisions of this Agreement,or of its application to any person,byjudgment or order, shall not affect any other provision of this Agreement or its application to any other person or circumstance, and all remaining portions of this Agreement shall continue in full force and effect. 18. Successors and Assigns-This Agreement shall benefit and bind the Parties and their respective successors and assigns. 19. Time of the Essence-Time is of the essence under this Agreement and under all of the terms, provisions, covenants and conditions hereof. 20.
