Sandquist, Trustees, Sandquist 1996 Trust, 78 Sea Way, San <br />Rafael, CA 94901 <br />(Space Above for Recorder's Use) <br />MEMORANDUM OF LEASE <br />This Memorandum of Lease (the "Memorandum") is made as of the day of <br />200_, between Dean H. Sandquist & Diane A. Sandquist, Trustees, Sandquist 1996 <br />Trust, 78 Sea Way, San Rafael, CA 94901, ("Landlord") and having an <br />office address at ("Tenant"). <br />Landlord is the owner of certain real property more particularly described in Exhibit A attached <br />hereto and by this reference incorporated herein, together with certain improvements located <br />thereon. The Real Property and the Building located thereon are the Demised Premises. Landlord <br />and Tenant have entered into a lease (the "Lease") dated March 16, 1998 wherein Tenant has <br />leased the Demised Premises. In connection therewith Landlord and Tenant have entered into <br />this Memorandum to confirm the lease of the Demised Premises and to provide notice to any <br />interested party of such lease and of the terms and provisions of thereof. <br />NOW, THEREFORE, the Parties state and agree as follows: <br />Landlord hereby leases to Tenant and Tenant hereby leases from Landlord the Demised Premises <br />described in the Lease on the terms and conditions therein set forth. The Lease will be in effect <br />on the Execution Date (as defined in the Lease) and will expire (_) years. from the <br />Commencement Date (as defined in the Lease), unless sooner terminated by Landlord, all as <br />more fully described in the Lease. Tenant shall have three (3) - five (5) year options to extend the <br />Lease. <br />The Lease is subject and subordinate to the Matters of Record which benefit/encumber the Real <br />Property. <br />This Memorandum is subject to all of the terms, conditions and limitations set forth in the Lease <br />and the Lease is hereby incorporated herein for all purposes with the same effect as though the <br />terms and conditions of the Lease were set forth herein in their entirety. <br />This Memorandum is for the benefit of and binding upon Landlord and Tenant and their <br />respective legal representatives, successors and assigns. <br />IN WITNESS WHEREOF, Landlord and Tenant have executed this Memorandum as of the date <br />first above written. <br />TENANT: <br />43 <br />
