ACCESS AGREEMENT <br /> This Access Agreement (the "Agreement") is entered into this 26 t-�,- day of <br /> N,, Abe r , 2018 between GLENN SPRINGS HOLDINGS, INC. ("GSH"), a <br /> Delaware corporation, and TEC EQUIPMENT, INC. ("Owner"). <br /> WITNESSETH: <br /> WHEREAS, TEC EQUIPMENT, INC. is the owner, authorized representative <br /> and/or person in possession and control of the property located at 2050 E Louise Ave <br /> in Lathrop, CA, APN 198-160-020, depicted on the map attached hereto as Figure 1 <br /> (the "Property"). <br /> NOW, THEREFORE, in consideration of the mutual covenants in this <br /> Agreement, the receipt and sufficiency of which are hereby acknowledged, Owner <br /> hereby grants to GSH the right to come upon the Property for the purpose of <br /> performing groundwater monitoring well installation, sampling, and related activities <br /> in accordance with the following terms and conditions: <br /> 1. Incorporation of Recitals. The recitals set forth above constitute an <br /> integral part of this Agreement and are incorporated herein by this reference with the <br /> same force and effect as if set forth herein as agreements of the parties. <br /> 2. Rights Granted. Owner hereby grants to GSH, its contractors, <br /> consultants, or other representatives, during the term of this Agreement, the right to <br /> come upon the Property for the purpose of performing groundwater monitoring well <br /> installation, sampling, and related activities, which includes, but is not strictly limited <br /> to, activities to install and maintain wells required for monitoring groundwater, <br /> including periodic (e.g., quarterly) collection of data and samples and related activities <br /> (collectively "the Work"), with the full right of ingress and egress, the right to <br /> transport equipment across the Property and such other rights as may be reasonably <br /> necessary for GSH, its contractors, consultants or other representatives to carry out its <br /> activities on the Property. A total of two (2) new groundwater monitoring wells are <br /> planned: one (1) well in the existing PW35 cluster; and one (1) well in the existing <br /> PW36 cluster. In addition, nine (9) wells are currently on the Property; four (4) wells <br /> in the PW25 cluster; three (3) wells in the PW35 cluster; and two (2) wells in the <br /> PW36 cluster. <br />
