modifications, information derived herefrom or provided hereunder is confidential <br /> information. Owner shall only use the confidential information for the purpose of the <br /> Agreement, and for no other purpose whatsoever. Owner shall not copy, reproduce or <br /> disseminate in any way (by electronic means or otherwise) any confidential <br /> information. Owner shall not disclose to any third party the existence or substance of <br /> any present or future discussions or negotiations relating to the Agreement or Property, <br /> without in each instance first obtaining the written consent of GSH, which consent <br /> may be withheld, delayed or conditioned in the GSH's sole discretion. <br /> Notwithstanding the foregoing, Owner may make such disclosures as are required by <br /> law. <br /> 9. Parties Not Obligated. It is understood that this Agreement grants <br /> permission to GSH to conduct the Work only on the Property, and does not grant any <br /> interest or estate in said Property. <br /> 10. Miscellaneous. This Agreement shall not be construed as or deemed to be <br /> an admission of any fact, responsibility, fault, or liability, and this Agreement shall be <br /> binding upon and inure to the benefit of the parties hereto and their respective legal <br /> representatives, successors, and affiliates. <br /> 11 Applicable Law. The Parties agree that, without respect to its conflict of <br /> laws jurisprudence, the laws of the State of California apply to this Agreement. <br /> 12. Authority. Owner warrants it is the owner of, or controls all access <br /> rights to, the Property and that it has the full right to grant to GSII and its affiliates and <br /> its or their representatives the access rights granted herein. <br /> 13. Amendment. No waiver, modification, amendment, discharge, or change <br /> of this Agreement shall be valid unless the same is in writing and signed by the party <br /> against which the enforcement of such modification, waiver, amendment, discharge, or <br /> change is sought. All prior negotiations, oral or written, are merged in this Agreement. <br /> 14. Captions. Captions are for convenience only and in no way define or <br /> limit or in any way affect the terms and conditions of this Agreement. <br /> 15. Waiver. This Agreement shall remain in full force and effect unless and <br /> until terminated under and pursuant to the terms of this Agreement. A party's failure <br /> to exercise any of its rights under this Agreement upon one occasion shall not be a <br /> waiver of its right to exercise the same on another occasion. <br />
