PU3L.IC HEALTH <br />CA 95201-03£8 <br />CFJ Properties, the owner of more than 70 Flying J Travel Plazas throughout the United <br />States, is pleased that you have elected to do business with CFJ. As we continue our <br />relationship with you as a vendor, there are a couple of matters that we need to address. <br />First, CFJ is a partnership. The partnership has established stand-alone financing and <br />desires to maintain financial independence from its partners. To maintain this <br />independence, CFJ desires that the following paragraph become a part of each agreement, <br />whether written or oral, with respect to each transaction that CFJ may have with you from <br />this date forward: <br />Notwithstanding any prior oral or written arrangement between the parties to the contrary, <br />vendor (addressee of this letter) hereby agrees that the vendor's sole recourse arising from or in <br />connection with any transaction between CFJ and vendor shall be against CFJ and not against any of the <br />general partners of CFJ. The vendor hereby waives any and all claims that vendor may hereafter have <br />against Big West Oil Company, Douglas Oil Company of California or Kayo Oil Company arising from or <br />relating to the sale of goods or services to CFJ except to the extent of their respective partnership interests <br />in CFJ. <br />We hope that each of CH's vendors will take the time and effort to learn about CFJ and <br />become familiar with its excellent financial condition. We are confident that if you do, <br />you will be entirely comfortable with the contractual provision imposed by this letter. <br />In addition to the foregoing, CFJ wants to make you aware of its policy against gifts and <br />gratuities. <br />CFJ contracts with Flying J Inc. To operate CFJ's Flying J Travel Plazas. Employees at <br />the Travel Plazas are, therefore, employees of Flying J. CFJ prohibits Flying J employees <br />from accepting gifts or invitations to special events {for example --ball games, operas, <br />golf events, elaborate meals, etc.} from companies with whom Flying J conducts <br />business. <br />The policy specifies that if a vendor or prospective vendor of goods or services offers a <br />gift to an employee, the employee must decline the gift and terminate its relationship with <br />that vendor. Rather than offering gifts or gratuities, CFJ and Flying J hope that you will <br />
