SCHEDULE B <br /> 'I <br /> GENERAL TERMS AND CONDITIONS <br /> 1. I. <br /> General. These General Terms and Conditions are applicable <br /> to and a part of -the Service Contract (the "Contract") to <br /> which it is attached as Schedule B between INTEGRATED <br /> ENVIRONMENTAL SYSTEMS, a California general partnership <br /> ("IES"), and the client ("CLIENT") named therein for the <br /> removal, transport and disposal by IES of Biohazardous Waste <br /> '(as defined below ) generated by CLIENT at specified <br /> facilities. <br /> 2. Biohazardous Waste. As used in the Contract, "Biohazardous <br /> Waste" shall mean infectious waste, as defined under Section <br /> 25117.5 of the California Health and Safety Code and any <br /> • regulations thereunder, as amended from time to time, or as <br /> such term may be defined in any applicable successor <br /> statutory or regulatory provision, and which is not <br /> otherwise deemed to be hazardous within the meaning of any <br /> federal, state or local law, regulation, rule or ordinance. <br /> 3. Representations, Warranties and Covenants of IES. YES <br /> represents, warrants and covenants that it will per orm the <br /> services required by the Contract in substantial compliance <br /> with all applicable federal, state and local laws, <br /> regulations , rules and ordinances ( "Regulatory <br /> Requirements"O . <br /> 4. Representations, Warranties and Covenants of CLIENT. CLIENT <br /> representc- warrants and covenants that it(i ii '1_ collect <br /> and store all Biohazardous Waste generated by it at the <br /> facilities identified in the Contract in accordance with all <br /> applicable Regulatory Requirements and the Practices and <br /> Procedures Manual (as defined below), `(ii) will not deposit <br /> in any storage container for removal by IES any waste or <br /> material other than Biohazardous Waste and (iii) will afford <br /> to IES and its authorized representatives such rights of <br /> access and inspection to each of the facilities covered by <br /> the Contract ,as may be reasonably necessary for IES to <br /> perform the services required of it pursuant to the Contract <br /> and to determine that all activities of IES or CLIENT <br /> undertaken pursuant to or in connection with this Agreement <br /> are being performed in substantial compliance with all <br /> applicable Regulatory Requirements and the Practices and <br /> Procedures Manual ; provided that, IES shall have no <br /> obligation to exercise its right of inspection and it shall <br /> be entitled to assume CLIENT's compliance with all <br /> applicable Regulatory Requirements and the Practices and <br /> Procedures Manual. <br /> 5. Practices and Procedures Manual; Compliance Responsibility <br /> of Client; Confidentiality.
