practices and procedures to be observed by CLIENT in <br /> collecting and storing Biohazardous Waste for removal, <br /> transport and disposal by IES. Such manual, aw amended and <br /> supplemented from time to time by IES, is referred to in the <br /> Contract as the "Practices and Procedures Manual". While <br /> IES intends that the Practices and Procedures Manual will <br /> provide ji usefu•l summary of Regulatory Requirements <br /> applicable to the collection and storage of Biohazardous <br /> Waste by CLIENT, the manual will not be exhaustive and its <br /> accuracy cannot be guaranteed given the complexity and <br /> rapidity of changes in applicable Regulatory Requirements. <br /> 'Accordingly, and notwithstanding any other provision of the <br /> Contract, CLIENT shall remain responsible for determining <br /> and monitoring its own compliance with all applicable <br /> Regulatory Requirements. CLIENT acknowledges that the <br /> Practices and Procedures Manual is proprietary to IES and <br /> agrees not to make any use or disclose the contents thereof <br /> to any person other than its own employees who are <br /> responsible for effecting CLIENT's compliance with the terms <br /> of the Contract or as may otherwise be required by law. <br /> Upon termination of the Contract, CLIENT shall return all <br /> copies of the manual to IES. The foregoing confidentiality <br /> provisions shall survive termination of the Contract. <br /> 6. Righ— <br /> t to Refuse. IES shall have the right at all times to <br /> re a to accept any waste or other material stored by <br /> CLIENT for removal by IES if IES has reason to believe that <br /> (i ) such material is not Biohazardous Waste, or (ii) by <br /> reason of aibreach or violation by CLIENT of any applicable <br /> Regulatory Requirement, the Practices and Procedures Manual <br /> or any of its obligations under the Contract, the removal, <br /> transport and disposal of such material by IES in accordance <br /> with its standard operating procedures for Biohazardous <br /> Waste would or might cause IES to be in violation of any <br /> applicable Regulatory Requirement or impose any significant <br /> risk to the health, safety or condition of any person or <br /> property. <br /> 7. Extraordinary Price Adjustments. The Price List attached as <br /> Schedule A to the Contract is based on .the cost to IES of <br /> performing its services under Regulatory Requirements in <br /> effect as of the effective date of the Contract and assumes <br /> that IES will be able throughout the term of the Contract to <br /> continue to utilize the methods, instruments and facilities <br /> then being used by it. If, as a result of any change in <br /> applicable Regulatory Requirements, IES is required to alter <br /> or cease its use of any such method, instrument or facility, <br /> IES may-, at its option, upon not less than 30 days' written <br /> notice to CLIENT, increase the charges set forth in the <br /> Price List as necessary to reflect any resulting increase in <br /> its costs of operation, plus a reasonable additional <br /> overhead and profit allowance; provided that, in the event <br /> of any such adjustment, CLIENT may, by written notice given <br /> not later than 30 days after its receipt of such notice from <br /> IES, terminate the Contract. <br /> 2 <br />
