References within this <br />agreement that pertain to Guaranteed Returns® also pertain to our Midwest Division located in St. Charles, <br />Missouri. <br />_ Guaranteed Returns' is in the business of providing professional and quality pharmaceutical return goods <br />®service programs to the pharmacies affiliated with CPR. As partnering clients, CPR agrees to promote <br />Guaranteed Returns® as its exclusive and/or preferred return goods processor. <br />Q CPR has selected Guaranteed Returns® as its exclusive return goods processor. (Sole Source Agreement) <br />Guaranteed Returns® will provide all CPR facilities and affiliates with individual bar coded pharmaceutical <br />return form/s and shipping labels approximately thirty (30) days prior to each scheduled processing date if <br />they are utilizing the "ReverseLink One"T Accelerated Credit Program. The CPR facilities and/or affiliates <br />will utilize the return form and shipping labels in providing to Guaranteed Returns® all partial and/or full <br />containers of expired, damaged, recalled, and/or overstocked drugs and pharmaceuticals, including <br />Schedule CI through CV items, hazardous consumer commodities, over-the-counter (OTC) and health and <br />beauty care (HBC) items. CPR shall have the sole discretion to determine which drugs, pharmaceuticals <br />and other items it will ship to Guaranteed Returns for processing. <br />Pharmacies shall send all of the above merchandise to Guaranteed Returns' state of the art processing <br />center in Holbrook, New York. However, should Guaranteed Returns® make the determination to change <br />the processing facility from New York to Missouri, notification will be issued to CPR facilities and/or affiliates <br />thirty (30) days prior. If applicable, Guaranteed Returns® will provide each facility pharmacy with prepaid <br />shipping labels. <br />Upon request, a local Guaranteed Returns' service representative shall be available to assist with the <br />packaging and preparation of CPR facilities and/or affiliates return goods. When applicable, the "On -Site <br />® Express" service includes the preparation and completion of all required DEA, EPA and DOT documents <br />and also includes an inventory of all control substances prior to shipping, Schedule I - V.
