• <br />C7 <br />THIS AMENDMENT to the Austin Road Landfill Gas Lease and <br />Operating Agreement (the "Agreement") is made and entered into this <br />17th day of August , 1992, by and between the CITY OF <br />STOCKTON, a municipal corporation, hereinafter referred to as <br />"LANDFILL OWNER," and PACIFIC ENERGY, a California corporation, <br />6055 East Washington Boulevard, Commerce, California 90040, <br />hereinafter referred to as "PEn," and successor in interest to <br />Cambrian Energy Systems, Inc. <br />I T N E S S E T: <br />WHEREAS, LANDFILL OWNER and Cambrian Energy Systems, Inc., a <br />California corporation, entered into the Austin Road Landfill Gas <br />Lease and Operating Agreement for Conversion Systems on August 27, <br />1982; and <br />WHEREAS, Cambrian Energy Systems, Inc., subsequently assigned <br />the Lease to Central Plants, Inc. (CPI), which subsequently <br />assigned the Lease to PEn; and <br />WHEREAS, the Lease, as assigned, contemplates PEn's recovery <br />of gas from the Austin. Road Landfill for the purpose of converting <br />said gas to electric power, thereby mutually benefitting the <br />parties to the Lease; and <br />WHEREAS, PEn's Austin Road Landfill gas recovery facility has <br />suffered substantial economic losses during its first five years of <br />operation; and <br />`1 <br />
