to cooperate with each other. However, neither party shall <br />hlave been deemed to have waived or altered any of the right or <br />obligations pursuant to Sections 11 and 19.02 of the original <br />Agreement executed on August 27, 1982, through such coopera- <br />tion. <br />2.09. PEn agrees to gather and handle the disposition of <br />any landfill gas condensate collected within PEnIs Collection <br />System which has been collected in conjunction with the <br />landfill gas to be utilized by PEn's Conversion system. The <br />disposition of the condensate shall be in accordance with the <br />regulations imposed by the federal government, the State of <br />California and any other agency having regulatory jurisdiction <br />over such operations. <br />PEn shall have no obligation of any nature with respect <br />to the monitoring, collection, control, or disposal of any <br />landfill gas condensate produced by the Landfill, except as <br />directly generated by PEn through the operation of its <br />Collection System or Systems referred herein. Furthermore, <br />except as to gas condensate collected within PEnIs Collection <br />System, PEn expressly disclaims any and all liability, <br />responsibility, representation, guarantee or warranty, whether <br />expressed or implied, with respect to any landfill gas <br />condensate from the Landfill, and the Landfill Owner hereby <br />agrees to defend, indemnify and hold PEn harmless from and <br />against any and all claims, liabilities, causes of action, <br />demands, losses or expenses, including attorneys' fees, <br />arising out of any claim from a third party as a result of any <br />2 <br />
