by operator, termination, insolvency, bankruptcy,T a death of <br /> Operator. County shall have the right to forthwith take temporary <br /> Possession of all 'facilities and equipment of Operator and the <br /> dump site for the purpose of continuing the services which Operator <br /> has agreedj.to preserve and protect the public health and safety. <br /> County shall have the right to retain possession of said facilities, <br /> equipment and landfill site and to render the required service <br /> until Operator can demonstrate to the satisfaction of the Board <br /> Of Supervisors of County that the required services can be re- <br /> sumed by Operator. Whenever County assumes temporary operation <br /> of Operator's obligations hereunder and it appears to the Board <br /> Of Supervisors of County that Operator will not be able to resume <br /> his obligations hereunder within a reasonable period of time, <br /> County may terminate this agreement to be effective at a data <br /> and time selected by the Board of Supervisors. Whenever County <br /> makes the determination of such inability by Operator to perform, <br /> County shall purchase and Operator shall sell to County all the <br /> equipment of the Operator. tuhenever County makes the determina- <br /> tion of such inability by Operator to perform, Operator shall <br /> Lease to County the sanitary landfill site at terms to be agreed_ <br /> upon. If the terms of said purchase or lease cannot be agreed <br /> upon between Operator and County, then the matter shall be sub- i <br /> mitted to arbitration as provided hereinafter. <br /> Within fourteen (14) days subsequent to either of the <br /> parties requesting arbitration in writing, each of the parties <br /> shall select one person who is familiar with the cost of equip- <br /> went. The two individuals selected by the County and Operator <br /> shall, not later than ten (10' days after their selection, meet <br /> -- <br /> -and. select a-third person as-an''arbitrator"The'-three-individuals <br /> so selected shall then, within a period of thirty (30) days, <br /> Commencing with the date of the selection of the third arbitra- <br /> tion, meet together as a board of arbitrators and shall receive <br /> evidence and sear arguments orally and in writing from County <br /> and from Cperator.
