INSURANCE AND INDEMNITY
<br /> 8. QUALITY SERVICE,INC. will maintain throughout the term of this Agreement commercial liability insurance in
<br /> the amount of One Million Dollars($1,000,000.00)per occurrence(2 million aggregate),professional liability insurance
<br /> in the amount of One Million Dollars($1,000,000.00),workers compensation insurance in the amount of One Million
<br /> Dollars($1,000,000.00), an umbrella policy in the amount of Three Million Dollars($3,000,000.00),contractors bond
<br /> in the amount of Twelve Thousand and Five Hundred Dollars ($12,500.00), auto liability coverage in the amount of
<br /> One Million Dollars ($1,000,000.00)per occurrence,and Contractor's pollution in the amount of One Million Dollars
<br /> ($1,000,000.00)per occurrence(2 million aggregate).
<br /> 9. Customer shall defend,indemnify and hold harmless QUALITY SERVICE,INC.,its owners,members,agents,and
<br /> employees from and against any and all claims, loss, damage, liability, judgments, costs and expenses, including
<br /> attorneys' fees,arising from or in any way connected with the performance of this agreement,including claims arising
<br /> from injury to or death of any person, or damage to property of any person which results,or is claimed to result, from
<br /> the performance of this agreement. The obligation to defend, indemnify and hold harmless shall apply to any acts or
<br /> omissions of any person or entity,passive or active, save and except for the extent of negligence or willful misconduct
<br /> of QUALITY SERVICE,INC.,its owners,members,agents,or employees.
<br /> 10. The Customer shall be liable for those fines or civil penalties imposed by any regulatory or enforcement agencies
<br /> on the Customer and/or QUALITY SERVICE,INC.that are not a result of QUALITY SERVICE,INC.negligent acts,
<br /> wrongful failure to act or willful misconduct or are otherwise directly related to the ownership of the water system or
<br /> Project and shall indemnify,defend,and hold QUALITY SERVICE,INC.harmless from the payment of any such fines
<br /> and/or penalties.
